So it can be used for many applications in the garden. There are species that are native to Europe and give bogs and moorlands their characteristic appereance. 104 ALLGEMEINE GESCHÄFTSBEDINGUNGEN Allgemeines Unsere Lieferbedingungen sind Bestandteil aller Lieferverträge, Vereinbarungen und Angebote. Sie gelten spätestens durch Auftragserteilung der Lieferung als anerkannt. Abweichende Vereinbarungen sind, wenn sie nicht von unseren vertretungsberechtigten Mitarbeitern abgegeben wurden, nur dann wirksam, wenn sie von uns schriftlich bestätigt wurden. Angebote und Vertragsabschlüsse Alle Angebote sind freibleibend entsprechend unserer Verfügbarkeit. Angenommene Angebote werden verbindlich bei Bestätigung oder Auftragsausführung. Aufträge gelten mit unsere schriftlichen Bestätigung als angenommen. Die Bestätigung gilt als anerkannt, falls der Kunde nicht innerhalb von 8 Tagen Einspruch erhebt. Ausdrücklich widersprochen wird Einkaufs- oder Auftragsbedingungen bzw. sonstigen allgemeinen Geschäftsbedingungen, die unseren Verkaufs- und Lieferbedingungen entgegenstehen. Preise Die Preise gelten ausschließlich Verpackung ab Werk in EURO zuzüglich der bei Auslieferung gültigen Mehrwertsteuer. Sie entsprechen der Kostensituation zur Zeit der Drucklegung und gelten bis zum Erscheinen neuer Listen. Ausländische Zahlungsmittel werden, soweit nicht die Rechnung in dieser Währung ausgestellt ist, nach dem bei der Europäischen Zentralbank am Tage der Rechnungsstellung notierten amtlichen Briefkurs der jeweiligen Währung in EURO umgerechnet. Unsere Listenpreise gelten nicht für Waren, die im Einzelnen von dem Kunden ausgewählt werden. Hier werden besondere Preise vereinbart. Zahlung Aufträge, bei denen nichts anderes vereinbart worden ist, können gegen Nachnahme ausgeliefert werden. Das Zahlungsziel beträgt 30 Tage ab Rechnungsdatum. Bei Zahlung innerhalb von 14 Tagen gewähren wir 2% Skonto auf den Netto-Rechnungsbetrag, sofern der Käufer alle Zahlungsverpflichtungen aus früheren Lieferungen restlos erfüllt hat. Bei Zielüberschreitung sind wir ohne besondere Mahnung berechtigt, bankübliche Verzugszinsen in Rechnung zu stellen. Rabatte und Sonderkonditionen sind nur wirksam, wenn sie von unseren Mitarbeitern abgegeben werden oder schriftlich bestätigt werden. Eine Aufrechnung gegen unsere Forderungen mit Gegenansprüchen des Bestellers ist ausgeschlossen, es sei denn, die zur Aufrechnung gestellte Forderung ist unbestritten oder rechtskräftig festgestellt. Die Geltendmachung eines Zurückbehaltungsrechtes ist nur zulässig aus Umständen, die aus demselben Vertragsverhältnis herrühren. Im kaufmännischen Rechtsverkehr ist die Ausübung eines Leistungsverweigerungsrechts oder eines Zurückbehaltungsrechts seitens unserer Kunden ausgeschlossen. Schecks und Wechsel werden nur erfüllungshalber unter dem Vorbehalt der Einlösung angenommen. Hieraus entstandene Spesen und Kosten gehen zu Lasten des Käufers. Tritt in den Vermögensverhältnissen des Käufers eine wesentliche Verschlechterung ein, so sind wir berechtigt, die Einbringung unserer vertragsgemäßen Leistung von der Vorauszahlung der vereinbarten Vergütung oder einer entsprechenden Sicherheitsleistung abhängig zu machen. Eine wesentliche Verschlechterung in den Vermögensverhältnissen liegt insbesondere dann vor, wenn über das Vermögen des Käufers das Insolvenzverfahren eröffnet oder die Eröffnung des Insolvenzverfahren mangels Masse abgelehnt wurde, der Käufer die eidesstattliche Versicherung abgegeben hat, uns Zwangsvollstreckungsmaßnahmen gegen den Käufer bekannt werden oder frühere Rechnungen trotz Fälligkeit nicht bezahlt sind. Nach Setzung einer angemessenen Nachfrist bei Untätigbleiben des Käufers sind wir berechtigt, vom Vertrag zurückzutreten und Schadenersatz zu verlangen. Vertragserfüllung Im Falle höherer Gewalt, wie z.b. Wetterkatastrophen (Dürre, Frost, Hagel etc.) oder anderen unvorhergesehenen und unverschuldeten Umständen wie z.b. Seuchen, Streik, Aussperrung, Betriebsstörungen jeglicher Art, Krieg, kriegsähnlichen Ereignissen, Währungsveränderungen oder behördliche Eingriffe verlängert sich die Lieferfrist für die Dauer der Behinderung. Wird durch die genannten Umstände die Lieferung unmöglich, so werden wir von der Lieferpflicht frei. Schadenersatzansprüche kann der Käufer nicht geltend machen. Kommt der Käufer seinen vertraglichen Verpflichtungen nicht nach, sind wir berechtigt, Schadenersatz wegen Nichterfüllung geltend zu machen. Der Schadenersatzanspruch beträgt ohne jeden Nachweis 30% des Rechnungswertes. Ein höherer Schaden kann gegen Nachweis geltend gemacht werden. Ist der Käufer mit der Annahme der Ware im Verzug, so sind wir nicht an den Bestimmungen des 373 HGB gebunden und können die Waren auch ohne vorherige Androhung freihändig, und zwar zu jedem uns annehmbar erscheinenden Preis, für Rechnung des säumigen Käufers anderweitig veräußern. Eigentumsvorbehalt Die gelieferten Waren bleiben bis zur vollständigen Bezahlung sämtlicher Forderungen aus der Geschäftsverbindung zwischen uns und dem Käufer unser Eigentum. Der Käufer ist berechtigt, die Waren im Rahmen eines ordentlichen Geschäftsganges weiter zu veräußern, hierbei ist der bestehende Eigentumsvorbehalt offenzulegen. Zu anderen Verfügungen über die Vorbehaltsware, insbesondere Verpfändung oder Sicherungsübereignung, ist er nicht befugt. Die dem Käufer aus der Weiterveräußerung zustehenden Forderungen tritt er bereits jetzt in Höhe des Wertes der Vorbehaltsware an uns ab. Wir nehmen die Abtretung an. Der Vorbehaltskäufer wird ermächtigt, die Forderung für uns einzuziehen, solange er seiner Zahlungsverpflichtung uns gegenüber nachkommt. Übersteigt der Wert der eingeräumten Sicherheiten die Forderung um mehr als 20%, so ist der Verkäufer nach seiner Wahl zur Rückgabe oder Freigabe verpflichtet. Wird die Vorbehaltsware vom Käufer als wesentlicher Bestandteil in das Grundstück eines Dritten eingebaut, so tritt der Käufer schon jetzt die gegen den Dritten oder denjenigen, den es angeht, entstehenden Forderungen auf Vergütung in der Höhe des Wertes der Vorbehaltsware mit allen Nebenrechten einschließlich eines solchen auf Einräumung einer Sicherungshypothek mit Rang vor dem Rest ab; der Verkäufer nimmt die Abtretung an. Wird die Vorbehaltsware als wesentlicher Bestandteil in das Grundstück des Käufers eingebaut, so tritt der Käufer schon jetzt die aus der gewerbsmäßigen Veräußerung des Grundstücks oder von Grundstücksrechten entstehenden Forderungen in Höhe des Wertes der Vorbehaltsware mit allen Nebenrechten und mit Rang vor dem Rest ab. Der Käufer nimmt die Abtretung an. Mit Zahlungseinstellung bzw. Beantragung oder Eröffnung des Insolvenzverfahrens oder eines gerichtlichen oder außergerichtlichen Vergleichsverfahrens erlöschen das Recht zur Weiterveräußerung, zur Verwendung oder zum Einbau der Vergleichsware und die Ermächtigung zum Einzug der abgetretenen Forderung. Bei einem Scheck- oder Wechselprotest erlischt die Einzugsermächtigung ebenfalls. Der Vorbehaltskäufer ist verpflichtet, die Vorbehaltsware pfleglich zu behandeln. Hierzu gehört insbesondere richtige Lagerung, Pflanzung, Düngung und Bewässerung. Versand Der Versand erfolgt auf Rechnung und Gefahr des Käufers. Anfallendes Rollgeld zur Bahn oder zum Schiff trägt der Käufer. Wird die Versendung durch einen Umstand, den der Käufer zu vertreten hat, verzögert, so geht die Gefahr vom Tage der Versandbereitschaft ab auf den Käufer. Der Verkäufer hat die Verpackung ordnungsgemäß und sorgfältig auszuführen. Offene Wagenladungen sind abzudecken. Die einzelnen Lieferpositionen sind deutlich zu kennzeichnen. Eine Transportversicherung wird nur auf ausdrücklichen Wunsch und auf Kosten des Käufers abgeschlossen. Einwegverpackungen werden zum Selbstkostenpreis berechnet. Mehrwertverpackungen (z.b. CC-Container, Paletten) bleiben unser Eigentum. Kosten, die dem Käufer aus Sammlung, Lagerung und Transport dieser Verpackungsmaterialien entstehen, werden von uns, auch anteilig, nicht erstattet. Für Schäden, die durch Sammlung, Lagerung oder Transport unserer Verpackungsmaterialien an eigenen oder fremden Waren oder an Personen entstehen, lehnen wir jede Haftung ab. Verpackungs- und Transportkosten sowie Rollgelder können nachberechnet werden. Wenn keine Transportvorschriften gegeben worden sind, so sind wir berechtigt, den Versand nach eigenem Ermessen auf dem uns am günstigsten erscheinenden Wege vorzunehmen, ohne damit eine Verantwortung zu übernehmen. Eine Anlieferung per LKW kann nur über frei befahrbare Straßen erfolgen. Wenn Auf Abruf verkauft worden ist, haben wir das Recht, Herbstlieferungen nach dem und Frühjahrslieferungen nach dem nach eigenen Gutdünken auszuführen, wenn der Abruf nicht vorher erfolgt ist. Gewährleistung Eine Garantie für das Anwachsen der Ware wird nicht übernommen. Verlangt der Käufer ausdrücklich eine Anwachsgarantie, so kann hierfür ein gesonderter Betrag in Rechnung gestellt werden. Eine gewährte Anwachsgarantie erstreckt sich auf die Dauer von einem Jahr ab Auslieferung und setzt voraus, dass der Käufer von Waren, die für die Warenart richtige Behandlung hat zuteil werden lassen. Hierzu gehört insbesondere die richtige Pflanztiefe, Düngung und Bewässerung. Fälle höherer Gewalt, insbesondere Dürre, Frost, Schädlingsbefall etc., sind von der Garantie nicht umfasst. Gewähr für Sortenechtheit wird nur bis zur Höhe des jeweiligen Rechnungsbetrages gewährleistet. Sie erstreckt sich bei Obstbäumen über 5 Jahre ab Lieferung, bei Unterlagen und Jungwaren über 1 Jahr und bei allen übrigen Gehölzen über 2 Jahre. Für die Echtheit der Nachzuchten wird eine Gewähr übernommen. Bis zur Höhe des entsprechenden Rechnungsbetrages wird Gewährleistung dafür übernommen, dass die Waren zum Zeitpunkt der Auslieferung nicht mit pilzlichen oder tierischen Schädlingen befallen waren. Für Frostschäden übernehmen wir keine Haftung. Mängelrügen Die Waren sind bei Anlieferung zu untersuchen. Hierbei festgestellte Mängel sind unverzüglich, spätestens jedoch binnen 5 Tagen nach Erhalt der Ware schriftlich zu rügen. Mängel, die erst später erkennbar sind, müssen ebenfalls binnen 5 Tagen nach Kenntnis, spätestens jedoch nach Ablauf von 12 Monaten nach Auslieferung, schriftlich gerügt werden. Bei begründeten Beanstandungen steht es dem Verkäufer frei, unter Ausschluss weitergehender Ansprüche für mangelhafte Ware Ersatz zu liefern oder den Auftrag gegen Gutschrift des Fakturwertes zu streichen. Die beanstandeten Waren müssen zur Abholung bereitgestellt werden. Verspätete oder unrichtige Mängelrügen werden nicht berücksichtigt. Muster und Maße Sämtliche Maße sind Circamaße. Abweichungen in einer Größenordnung von 10% nach oben oder nach unten sind zulässig. Muster sollten die Durchschnittsbeschaffenheit zeigen. Es müssen nicht alle Waren genau wie die Probe ausfallen. Erfüllungsort und Gerichtsstand Erfüllungsort ist Westerstede. Ausschließlicher Gerichtsstand ist Westerstede. Es gilt ausschließlich das Recht der Bundesrepublik Deutschland.
