BRANDS The main brand is Riverdene, for 35 years symbolising consistently high quality products for the foodservice and retail sectors. The name originates from the family home of the company's founder. Ballerina offers specialised products such as breakfast variety Spanish tomatoes and anchovies. The MM stamp is used to show case high quality products such as Olive Oils and Vinegars. Pulcinella, the high quality brand for the range of Italian Tomato products. Cloverleaf & Country Town operate in different sectors of the market for products such as tuna. We supply a full range of jam and preserve portions under the Menz & Gasser brand. We are exclusive agents for the Acorsa brand for Spanish Table Olives, the biggest producer in the world. We are the UK agents for Kyknos brand, the No. 1 Tomato Paste in Greece. Probably the best quality available. Granoro, one of the finest Italian pasta around, guaranteed good results and supplied into many UK restaurant chains. 6

Our systems ensure full traceability from factory to customer and have complete control of all administrative procedures. Our own quality system is accredited by independent third parties including BRC Global Standards for Agents & Brokers. We purchase from the best BRC, IFS, HACCP and MM audited factories around the World. Upon arrival at East Coast Storage products are frequently sampled and tested against product specifications. EAST COAST STORAGE Our UK Distribution is via our own warehouse, East Coast Storage (handling) Ltd based in King s Lynn Norfolk. The company has been offering warehouse storage facilities to customers for over 40 years, specialising in ambient grocery Handling and warehousing. East Coast Storage operates 250,000 sq foot of warehousing and business units over two sites, which equates to around 20,000 pallet spaces. We import over 3,000 fcl s worldwide and distribute via our warehouse or direct to the customer. 8

TERMS & CONDITIONS This Sales Contract overrides any Purchase Contract whatsoever issued and the goods are sold subject solely to the Full Terms and Conditions of Sale of Martin Mathew & Co Ltd a copy of which are available on written request. QUALITY It shall be expressly understood that the goods covered by this Contract shall be of a sound and merchantable quality unless stated to the contrary. Once product has been opened and used in further preparation and/or manufacturing, due diligence responsibility passes to the buyer. No claims will be permitted for losses, costs or expenses resulting from an event or due to circumstances beyond the control of the Seller. GUARANTEE Goods covered by this Contract are guaranteed to comply with the terms of the Food Safety Act 1990, the Weights & Measures Act and all statutory orders amending them and all other current statutory conditions relating to the sale of food. The terms and conditions in this contract shall be construed and governed in accordance with the Laws of England. FREIGHT & HAULAGE Price (s) stated in this Contract is (are) based on Freight & Haulage Rate(s) ruling at date of contract and any variations in this (these) or surcharge to this (these) rates at time of shipment/ delivery beyond sellers control shall be for buyer s account. DUTY, TARIFFS, TAXES, LEVYS etc Price(s) stated in this Contract is (are) based on the import Duty/Tariff/Taxes/Levies ruling at date of contract and any variation in all or any of these at time of arrival of goods at port of discharge shall be for buyer s account. CURRENCY Should there be a depreciation in currency exchange rates of more than 5% then Seller only will have the right to renegotiate the Contract. LIABILITY In the event of delay of shipment, non-delivery or short delivery, loss or damage due to non-shipment or to damage caused by fire, flood, strikes, embargoes, civil unrest, war, loss of or damage to documents, delay in communications, crop failure, or any other cause(s) beyond the control of the seller, seller shall not be liable. Should any of these factors result in reduced quantities becoming available, the seller is at liberty to deliver pro rata, each delivery to be considered and treated as a separate contract. No claims, penalties or fines for delay, reduced quantities or failure to supply or any costs arising from these eventualities will be permitted. The Company will not accept any liability in respect of consequential losses allegedly arising from damage to products caused by goods supplied and will be limited to the value of the goods supplied under the Terms of the Contract. CLAIMS All claims for recovery of loss or damage by any means shall be made by buyer within 3 days from arrival of goods at buyers warehouse. Goods sold ex wharf or warehouse to be taken and examined at wharf or warehouse where lying. Any claim must be lodged prior to removal of goods. No claim for product recall is permitted without written instruction from the seller prior to recall. Thereafter it is at the cost of the Buyer to prove wholly that the recall was completely necessary. PASSING OF PROPERTY Only at the time payment is made in full by the buyer to the seller shall title to the goods be transferred by the seller to the buyer and if the buyer shall sell the goods to any third party the proceeds of the resale (or any claim thereto) shall remain with the seller. Failure on the part of the buyer to pay the seller shall entitle the seller to repossess the goods (without prejudice to any other remedy /ies) without prior notice and to enter any premises so to do. RISK Goods sold F.A.S., F.O.B. or C & F shall be at buyers risk from the time they are presented for delivery or to dock for shipment and buyer shall be responsible for loss or damage from that time. Goods sold ex factory shall be at buyers risk from the time buyers are advised that goods are available for collection. CONTAINERISATION Shipment(s) by container will be subject to the following additional conditions: - (a) In the event that containers are delayed at the buyers premises for a period in excess of that prescribed by the carrying company for discharging then any demurrage charges arising from such delay shall be for buyers account. (b) The responsibility for ensuring that the seals on the container are unbroken at time of delivery to the buyer rests with the buyer. Notice that seals are broken must be given at the time of delivery to the carrier. No claims can be considered without such notification. (c) Documents may consist of Way Bill(s), delivery order(s), or bills of lading at seller s option. ARBITRATION Any dispute arising out of this Contract shall be settled by arbitration in London in accordance with the Laws of England and the Rules of the London Court of Arbitration, Arbitrators, one to be appointed by each party, shall appoint a third to act as umpire. AMENDMENTS No amendment(s) or variation(s) to this Contract is (are) valid unless a contract notice of amendment is issued and signed acceptance received by both parties to the Contract. If buyer fails to take delivery of goods within terms of contract or to make payment according to terms of contract seller may cancel that installment of goods or cancel contract. 30
