TERMS & CONDITIONS OF SALE PREAMBLE: The present Terms and Conditions of Sale, in accordance with national and international practices, apply expressly, failing any special agreements, to all sales of seeds, including seeds supplied in bulk, and in particular to the sales made to horticulturists, market gardeners, producers, vegetable producers, plant producers, nurserymen, processors, authorities, grower groups, retailers, producers and fillers of packets, and importers whoever they may be. The fact of placing an order therefore implies that the buyer adheres to the Terms and Conditions of Sale shown in the catalogues, invoices, delivery notes, price lists, etc. or any other of the seller's commercial documents if they so exist. DEFINITIONS: For the purposes hereof, the following words and expressions shall, unless repugnant to the context or meaning thereof, have the meaning hereinafter defined: Buyer means a person, body corporate, partnership or Hindu Undivided Family (HUF) who buys or contracts to buy goods from HM.CLAUSE India Pvt. Ltd. The term he or it in reference thereto would mean to include he, she or it. Force Majeure means a material occurrence that causes the performance of all or part of a contract to be impracticable due to causes that are outside the control of the parties were not specifically contemplated by the parties at the time of contracting and could not have been avoided by precaution that a reasonable person under like circumstances would have taken. Seller means HM.CLAUSE India Pvt. Ltd. Buyer s Customer means a person, body corporate, partnership or Hindu Undivided Family (HUF) who pays for goods received or receivable from the buyer. The term he or it in reference thereto would mean to include he, she or it. ORDERS: The orders shall be fulfilled insofar as is possible. The deliveries shall be made according to the stocks and availabilities in sufficient quantity and quality and in the case of insufficient stock it will be supplied in pro rata to the orders received. Consequently, no compensation can be claimed, notably for partial delivery, non-delivery or late delivery. Seller will deliver seeds as soon as possible but will not deliver seeds before a germination test has been finished; if the buyer asks the seller to deliver seeds prior to the completion of the germination test, the buyer accepts to be the sole person liable for the germination consequences of the lot. RISKS: Title to products passes from the seller to the buyer on shipment from the seller. Loss or damage that occurs during shipping is the buyers responsibility. The goods travel at the buyer s own risk including if they travel in accordance with the buyer s written instructions. This is so even if shipped as free or ex-works and whatever the method of transport used: road, rail, Haulage Company, postal services, air, boat, etc. Likewise, barring particular conditions, the risks caused by any late delivery of the goods as well as any loss or damage caused to the goods during transportation and their possible consequences shall be solely born by the buyer. The Consignee is advised to refuse damaged products from the carrier on original delivery attempt. Should he have accepted the damaged products such damage should be noted on the carrier delivery record along with the consignee s signature, stamp and date. The product and the original box and packaging should be preserved and the seller notified within 24hours of receipt for it to arrange for a carrier inspection and a pick up of damaged products. Please notify the sellers Customer Relations personnel of the Seller of damaged products WITHIN THE FIRST 24 HOURS of receipt. Timely receipt of this information is necessary as the seller needs to file a damage claim within 48 hours. It is the consignees responsibility to sign for the correct number of packages as shown on the carrier's delivery consignment note/ seller s invoice. Any shortages must be noted on the consignment note and it will be the consignees responsibility to notify the seller within 24 hours of delivery. Any tampering with the seller s tapes and belts that seal the packing must be recounted fully. The consignees failure to observe these formalities prevents any action against the carrier. OWNERSHIP RESERVE CLAUSE: The seller expressly reserves the ownership of the delivered goods until the price has been fully paid by the buyer. In this respect and in the sense of the present clause, the remittance of bills or of any other instruments creating an obligation to pay does not constitute payments. In the event of seizure or of any other intervention by a third party, the buyer is obliged to notify the seller of this immediately and shall bear the responsibility of any risks whatever they may be, including in the case of loss or destruction. PRIVILEGE RETURNS: All sales are final and no returns will be accepted unless prior authorization from the seller s Customer Relations department is received in writing. All returns must be in unopened packaging and will need to be returned to the original shipping location, unless otherwise authorized, at the customer s expense. Unauthorised sales returns will be refused by the seller and sent back to the customer at his expense. Buyer is responsible for shipping charges to seller s distribution center for all products being shipped for return, exchange or replacement. Products exchanged or replaced will be shipped by seller to buyer, at seller s expense, using the same shipping method as is delineated in the terms and conditions attached to the price list. All other expenses will be charged to the customer. Customer is responsible for all risk of loss and damage to products being shipped for return, exchange or replacement. To protect your interests, please fully insure return shipment in case of loss or damage. INTELLECTUAL PROPERTY: These terms and conditions of sale may not be interpreted as granting the buyer any intellectual right/title over the seller's goods as well as over the packaging and/or media and/or related documents and/or intellectual rights/titles and/or distinctive signs, which are the property of the seller or which the seller operates or uses in the context of his activity. The buyer shall refrain from hiding, deleting or modifying, in any way whatsoever, intellectual rights/titles as well as distinctive signs that appear on the packaging of the goods delivered by the seller. The buyer undertakes to inform the seller immediately, and by any means, of any infringement of his property rights and/or intellectual property rights and/or titles and/or distinctive signs (or the ones he operates or uses in the context of his activity) and to co-operate fully with the seller. At any time, the seller may check that the foregoing provisions are fully respected, without prejudice to any other action by the seller. The buyer undertakes to ensure that his own customers comply with this clause. The buyer expressly authorizes the visit of a person appointed or mandated by the seller to control the respect of the provisions of these terms and conditions of sales, especially the provisions relating to intellectual property and the preservation of the quality of the goods. To do so, the buyer agrees to facilitate free access to its premises including but not limited to its greenhouses. The seller can also consult all relevant documents in this regard.
