1 INTRODUCTION The LiveTiles CSP Provider Program provides you with the ability to resell LiveTiles products in line with the Microsoft Cloud Solution Provider program and your CSP distributor. This means you can bundle in the LiveTiles products with your Office 365 offering to drive the adoption and usage of the platform. This document describes the program benefits, requirements and usage rights for the LiveTiles CSP Provider Program. LiveTiles CSP Program Guide - Version 1.0 - November 2015 Page 3
2 PARTNER BENEFITS Being a LiveTiles CSP Program partner provides you with the following benefits: Reseller discount As a partner you are entitled to a % fee for the resale of LiveTiles Products. The fee received is set by your CSP Distributor. Access to LiveTiles Products for internal use LiveTiles CSP Partners have access to all LiveTiles Products for unrestricted internal use under a Not For Resale (NFR) arrangement. Provisioning of this license is provided via your LiveTiles CSP Distributor. Access to the Partner Portals You are given access to the LiveTiles Partner Portal (http://go.livetiles.nyc/partners) which includes sales and marketing materials as well as the LiveTiles Partner Community (www.yammer.com/timessquare) where you can connect directly with the LiveTiles team. LiveTiles Partner Program Logo Usage You have access to use the LiveTiles Partner Program Logo available at (http://go.livetiles.nyc/partner) under the terms defined on the website. Partner Only Webinars From time to time you will be invited to join LiveTiles in Partner only webinars where you will hear about new product features, development roadmap priorities, and receive and tips and tricks for getting the most out of the solutions. Access to Technical Preview or Early Availability Release Software As a partner you will have early access to new releases and beta software. Product roadmap and planning meetings (by invitation) You may be invited to review product roadmaps and contribute to product planning meetings. 3 PARTNER REQUIREMENTS To become and maintain your LiveTiles CSP Partner program status you must signed up with a current Microsoft CSP distributor and have at least 1 resource trained* via the LiveTiles official training course. * As a partner you must commit to undertaking training within a 90 day period however official product training is not a prerequisite for becoming a LiveTiles CSP partner and transacting licenses. In order to maintain your CSP Partner membership you must meet the requirements for membership at all times. If you do not meet the requirements LiveTiles reserves the right to terminate your program membership. LiveTiles CSP Program Guide - Version 1.0 - November 2015 Page 5
4 PARTNER PRODUCT USAGE RIGHTS Partners are provided with Not For Resale (NFR) licenses for all LiveTiles products provided by the CSP distributor. NFR licenses can be used unrestricted for internal partner use as well as partner controlled demonstration and trial environments. We encourage all partners to leverage the LiveTiles products in their own environments. Support of your internal use is via the standard support processes. Any demo or trial environment not under the direct control of the partner (such as a customer trial tenant) must be licensed under a trial license provided by the CSP reseller. 5 PRODUCT LICENSING CONDITIONS LiveTiles products are licensed under a different licensing models depending on the most suitable for the product. Per use licensing model Any LiveTiles products licensed under a per user/seat model (such as LiveTiles Design) are on a one to one basis with number of Office 365 seats sold via the CSP program (i.e. 1 LiveTiles Design Licence per Office 365 user). For example: 50 Office 365 users = 50 LiveTiles Design users Annual fee or Once off Model LiveTiles Products licensed under a once off or annual fee (such as LiveTiles Build) are on a per Office 365 tenancy. For example: One LiveTiles Build license per customer Office 365 tenant PRICE CHANGES LiveTiles reserves to right to review pricing for all its products. Any changes to pricing of LiveTiles products will be provided with 30 days notice LiveTiles CSP Program Guide - Version 1.0 - November 2015 Page 7
6 PROCUREMENT PROCESS LiveTiles products are added to CSP distributor order as nominated product lines/sku(s). End User Customer details must be proved in order for a license agreement to be created. A single agreement will be created per customer for each separately licensed product. For LiveTiles Products licensed under a per user model the number of users will be adjusted in accordance with a change in the Office 365 user count REMOVAL OF LIVETILES PRODUCT FROM CSP ORDER A partner can request LiveTiles to be removed by its CSP order on request with the CSP Distributor. In this circumstance the current billing cycle will be billed and the product license will be marked as expired in the LiveTiles licensing system. The CSP partner is responsible for ensuring the removal of all non-licensed LiveTiles products from the end customer environment. BILLING Billing of the LiveTiles Products for per user licenses is on the same cycle as the Office 365 CSP billing cycle. Billing for Once off or Annual licenses will occur on the first billing cycle following the placement of the order. LiveTiles reserves the right to change billing cycle with 30 days notice LiveTiles CSP Program Guide - Version 1.0 - November 2015 Page 8
7 SUPPORT Support of LiveTiles product(s) is provided by directly by LiveTiles. Support issues must be raised via the standard LiveTiles support processes using our support portal: http://support.livetiles.nyc/ Support is subject to the standard conditions of the LiveTiles support process. LiveTiles is not responsible for the support of Office 365 in general or any non LiveTiles products that have been included in the customer environment. If an issue is found to be caused by something outside of the LiveTiles product(s) the support ticket will be closed and the originator alerted. 8 COMMUNICATIONS COMMUNICATIONS WITH PARTNER You also understand and agree as a LiveTiles CSP program partner you will receive certain communications from LiveTiles and/or your CSP Distributor such as product and / or service change announcements, administrative messages, partner newsletters and / or communications regarding your membership. These communications are considered part of your partner membership and you will not be able to opt out of receiving them. COMMUNICATIONS WITH END CUSTOMER LiveTiles reserves the right to send certain communications to the end customer in relation to product awareness, release information, and user research. 9 CHANGES TO THIS GUIDE LiveTiles may announce changes to this Program Guide from time to time, including but not limited to changes in benefits, requirements, introduction of new product lines and changes to the categorisation of products. LiveTiles will notify partners thirty (30) days in advance of these changes taking effect.
