Since the last edition of this catalogue, the range has grown largely, thanks to our efforts in breeding, both internationally and locally in Asia and India. Moreover, the acquisition of Century Seeds in 2012 has significantly reinforced our offer for Indian crops such as gourds, peppers or pumpkin to name a few. Following the branding change initiated in April 2015 all our products are now sold under CLAUSE brand. The new organization in India is combining the best of HM.CLAUSE India and Century Seeds to offer the best varieties and a renown seed quality which has been the backbone of HM.CLAUSE development in India since we started our activity here. Any tampering with the seller s tapes and belts that seal the packing must be recounted fully. The consignees failure to observe these formalities prevents any action against the carrier. OWNERSHIP RESERVE CLAUSE: The seller expressly reserves the ownership of the delivered goods until the price has been fully paid by the buyer. In this respect and in the sense of the present clause, the remittance of bills or of any other instruments creating an obligation to pay does not constitute payments. In the event of seizure or of any other intervention by a third party, the buyer is obliged to notify the seller of this immediately and shall bear the responsibility of any risks whatever they may be, including in the case of loss or destruction. PRIVILEGE RETURNS: All sales are final and no returns will be accepted unless prior authorization from the seller s Customer Relations department is received in writing. All returns must be in unopened packaging and will need to be returned to the original shipping location, unless otherwise authorized, at the customer s expense. Unauthorised sales returns will be refused by the seller and sent back to the customer at his expense. Buyer is responsible for shipping charges to seller s distribution center for all products being shipped for return, exchange or replacement. Products exchanged or replaced will be shipped by seller to buyer, at seller s expense, using the same shipping method as is delineated in the terms and conditions attached to the price list. All other expenses will be charged to the customer. Customer is responsible for all risk of loss and damage to products being shipped for return, exchange or replacement. To protect your interests, please fully insure return shipment in case of loss or damage. INTELLECTUAL PROPERTY: These terms and conditions of sale may not be interpreted as granting the buyer any intellectual right/title over the seller's goods as well as over the packaging and/or media and/or related documents and/or intellectual rights/titles and/or distinctive signs, which are the property of the seller or which the seller operates or uses in the context of his activity. The buyer shall refrain from hiding, deleting or modifying, in any way whatsoever, intellectual rights/titles as well as distinctive signs that appear on the packaging of the goods delivered by the seller. The buyer undertakes to inform the seller immediately, and by any means, of any infringement of his property rights and/or intellectual property rights and/or titles and/or distinctive signs (or the ones he operates or uses in the context of his activity) and to co-operate fully with the seller. At any time, the seller may check that the foregoing provisions are fully respected, without prejudice to any other action by the seller. The buyer undertakes to ensure that his own customers comply with this clause. The buyer expressly authorizes the visit of a person appointed or mandated by the seller to control the respect of the provisions of these terms and conditions of sales, especially the provisions relating to intellectual property and the preservation of the quality of the goods.
