1 INVITATION TO BID DEPARTMENT OF AGRICULTURE AND CONSUMER SERVICES DIVISION OF FOOD, NUTRITION AND WELLNESS PURPOSE In an effort to promote healthy lifestyles and provide schoolchildren in the state of Florida with Fresh From Florida produce, the Florida Department of Agriculture and Consumer Services (FDACS or Department) seeks producers who can provide fresh, high-quality, seasonal, Florida-grown produce products to participating school districts. The purpose of this Invitation to Bid is to establish maximum pricing for fresh produce to be procured by the current distributors of individual participating school districts (APPENDIX I, CURRENT DISTRIBUTORS BY COUNTY SCHOOL BOARD) for use in the Federal Child Nutrition programs throughout the state of Florida through March 31, BID SUBMISSION Bids are due prior to the time and date of the bid opening, as specified below and in the public advertisement on the Department of Management Services Vendor Bid System. Bid responses received by fax will not be accepted by the Department. Two (2) copies of all bid documents must be submitted in a sealed envelope to: FLORIDA DEPARTMENT OF AGRICULTURE AND CONSUMER SERVICES 407 S. CALHOUN STREET MAYO BUILDING, ROOM SB-8 TALLAHASSEE, FLORIDA THE OUTSIDE OF THE PACKAGE MUST BE MARKED WITH THE BID NUMBER AND DATE OF THE BID OPENING. Bids received late will not be considered. Department staff will not incur any responsibility for the inadvertent opening of a bid not properly sealed, addressed or identified. BID OPENING The bid opening will be held at 2:00 p.m. on December 5, The location of the bid opening is the Florida Department of Agriculture and Consumer Services, 407 S. Calhoun Street, Mayo Building, Room SB-8, Tallahassee, Florida All bid openings are open to the public. DEFINITIONS The term Department throughout this Invitation to Bid shall mean the Florida Department of Agriculture and Consumer Services. Producer and shall mean a person or company that submits a response to this Invitation to Bid that has the ability to grow, process or supply fresh produce to distributors. Produce shall mean raw, unprocessed and/or minimally processed (i.e. fresh-cut) fruits and vegetables. Participating School District shall mean a school district in the state of Florida that has affirmatively indicated to the Department that it intends to purchase fresh produce from the award resulting from this Invitation to Bid. Distributor means the person or firm responsible for purchasing, warehousing and/or distributing food to the participating school districts through an existing contractual relationship. 1

2 CONTRA PERIOD The anticipated agreement period will be from January 1, 2013, through March 31, Delivery services will not begin prior to January 1, 2013, for the successful bidder(s). The Department will not establish a contract as a result of this solicitation - only maximum pricing. Items procured shall be the responsibility of the individual participating school districts through their current distributors. Each participating school district s current distributor shall be responsible for purchasing, warehousing and distributing the food at the direction of the individual participating school district. The Department intends to issue future solicitations for additional types of produce not included in this particular solicitation. SEE APPENDIX II, FRESH FLORIDA PRODUCE PROCUREMENT FOR USE BY PARTICIPATING SCHOOL DISTRIS, for a schedule of future anticipated solicitations. ESTIMATED QUANTITIES The estimated quantities specified herein are to be used only as a guideline of preparing your bid and should not be construed as representing actual quantities to be purchased by the participating school districts. TECHNICAL SPECIFICATIONS Bids by Bids will be accepted for products based on region. s and products are specified on the bid price sheets. Producer Qualifications Bids will only be considered from producers who meet the qualifications listed below. s must have adequate organization, facilities, equipment and personnel to ensure prompt and efficient service. The Department reserves the right, before recommending any award, to inspect the facilities and organization or to take any other action necessary to determine ability to perform in accordance with the specifications, terms and conditions. The Department will determine whether the information submitted pertaining to a producer s ability to perform is satisfactory and will make awards only when such evidence is deemed satisfactory. The Department reserves the right to reject bids where information submitted or investigation and evaluation indicates inability of the bidder to perform. The decision as to whether the bidder meets the qualifications stated below is at the sole discretion of the Department. 1. must have, or have access to, and will utilize refrigerated warehouse facilities capable of holding temperatures at 35, 50 and 70 F. 2. must have, or have access to, and will utilize a fleet of mechanically refrigerated trucks or truck compartments capable of holding air temperatures at 45 F minimum while on delivery routes. 3. must have, or have access to, an experienced produce buyer and a contract administrator who can serve as account manger on a day-to-day basis. 4. Three (3) references from food service and/or retail trade customers shall be submitted with the bid documents (APPENDIX V, REFERENCES). This list shall contain contact persons at each location by name, position and phone number. The Department reserves the right to contact these locations and/or customers in order to evaluate bidder s qualifications. 2

3 5. A one-page summary of each bidder s recall policy and procedures are to be submitted with the bid proposal. 6. The awarded producer must certify local farmers by obtaining GAP (Good Agricultural Practices) letters. Farmer certification information must also include a Certificate of Insurance, hold harmless, traceability program and third party inspection. 7. The awarded producer must identify what products are available and intend to be purchased locally in the state of Florida. The awarded producer must purchase seasonal Florida produce, to the maximum extent possible, considering seasonality and quality. 8. The awarded producer must participate in an annual third party food safety inspection to assure the Department that the perishable products distributed to the schools are handled in accordance with the latest USDA and industry food safety standards. 9. If the awarded producer does not participate in food distribution programs that require such inspections, they should bear the cost of an inspection service chosen by the participating school district s distributor or use the Department s Food Safety Certification services listed below. Food Safety and Recalls Ensuring the safety of the food supply is critical to the Department. Producers, manufacturers, distributors and importers are required to comply with all federal, state and local laws and regulations. Producers must meet the food safety compliance requirements referenced for each distributor located within the region they choose to bid on as identified in APPENDIX III, REGIONS. Producers should have a Hazard Analysis & Critical Control Points (HACCP) Plan in place. A producer must certify to the Department, using the attached form (ATTACHMENT C, FOOD SAFETY/HACCP PLAN BIDDER CERTIFICATION), that that a HACCP plan is in place, or that arrangements have been made to have a plan in place. Additional documentation may be requested by the Department or any participating school district. If a HACCP Plan is not currently in place, please provide an explanation of what arrangements are being made to have a HACCP Plan. Additionally, if awarded a bid item, the producer agrees to allow state agency staff and participating school districts to schedule visits to observe agricultural and food safety practices at mutually agreed upon times throughout the contract period. Recalls are an effective method of removing or correcting consumer products that are in violation of laws administered by the Food and Drug Administration. The awarded producer(s) shall have a plan and process in place to effectively respond to a food recall, which should include the following objectives: a. Provide accurate and timely communication to the Department s Division of Food, Nutrition and Wellness, as well as each participating school district, regarding food recalls with immediate notification. b. Include traceability, handling of recalled product, disposal of recalled product and evidence of same day recall activity and accessible documentation. Product Liability Insurance All producers must furnish and maintain a Certificate of Insurance for Commercial General Liability coverage. This certificate must be in the minimum amount of $1,000,000 per occurrence, combined single limit for bodily injury and property damage liability. 3

4 Buy American Provision The awarded producer must comply with the Buy American provision of the William F. Goodling Child Nutrition Reauthorization Act of 1998, section 104(d) and will provide certification of product compliance (APPENDIX IV, BUY AMERICAN CERTIFICATION). The provision requires participants in any federal child nutrition program to purchase, to the maximum extent practicable, domestic commodities or products. A domestic commodity or product is defined as an agricultural commodity produced in the ed States or a food product that is processed in the ed States substantially using agricultural commodities that are produced in the ed States. Substantially means that a minimum of 51% of the final processed food comes from American produced products. Preference Pursuant to Chapter 287, Florida Statutes, and as allowed under USDA federal regulation 7 CFR , whenever two or more competitive sealed bids are received, one or more of which relates to commodities manufactured, grown or produced within this state, and whenever all things stated in such received bids are equal with respect to price, quality and service, the commodities manufactured, grown or produced within this state shall be given preference. Origination of the produce must be indicated on the bid price sheets for all produce utilized to fulfill the estimates of this solicitation, whether it is a local (Florida), regional or domestic product. A goal of this Invitation to Bid is to provide locally grown (Florida) produce for the participating schools. Packaging All shall conform to current standards acceptable to the trade and as maybe required by Interstate Commerce Commission (ICC) Regulations. Product Condition All produce must be fresh and be packed to US No. 1 grade standards, unless otherwise specified. Distressed product is not acceptable. The Department, distributors or participating school districts may have USDA re-grade product on a random basis, and for cause, to ensure the quality level. These re-inspections will occur at participating school district locations. Under grade or distressed product will be returned to the producer by the distributor. In these confirmed cases, the producer will be required, at the discretion of the distributor, to redeliver the correct product within 24 hours of notification. All fresh-cut produce shall have a "pack" or "use by" date/code to ensure freshness. The date/code must appear on the exterior of the case, as well as on the individual package. The date/code shall also appear using reference to the month/year. Expired or out of date product will not be accepted. Producer must comply with all applicable state and local food storage/handling requirements and health codes. Food products must meet all state and federal regulations governing food and be of good quality. Inferior quality products will not be acceptable. Products shall be the same as furnished to the general trade; meet or exceed USDA, USDC, state and industry standards and requirements; have a freshness parameter so that the facilities have sufficient time from the date of delivery to consume these foods before quality deteriorates; conform to state, federal and industry standards with respect to safety. Conformance to standards and requirements shall include, but not be limited to weights, measures, fill of containers, drained weights, contamination or condition on delivery. Dented cans, crushed or damaged packages, etc. will not be accepted. 4

5 Producer facilities shall be subject to inspection by appropriate federal, state and local personnel at any time for sanitary conditions. If conditions are found by any appropriate federal, state and local personnel to be unsatisfactory, the contract shall be subject to cancellation. Product Loss and Damage The producer assumes the risk of loss and damage to the product, until such time as the distributor issues receipts for the product. Product determined by the distributor to be under grade or distressed shall be the responsibility of the producer. STANDARD USDA CONTRA CONDITIONS 1. In accordance with federal law and U.S. Department of Agriculture policy, this institution is prohibited from discriminating on the basis of race, color, national origin, sex, age or disability. a. To file a complaint of discrimination, write USDA, Director, Office of Adjudication, 1400 Independence Avenue, SW, Washington, D.C or call toll free (866) (Voice). Individuals who are hearing impaired or have speech disabilities may contact USDA through the Federal Relay Service at (800) or (800) (Spanish). USDA is an equal opportunity provider and employer. 2. The producer agrees to retain all books, records and other documents relative to this agreement for five (5) years after final payment. The Department, its authorized agents and/or state/federal representatives shall have full access to and the right to examine any of said materials during said period. If an investigation or audit is in progress, records shall be maintained until stated matter is closed. 3. All product offered under this contract must be labeled to permit shipment in interstate commerce. 4. All patents and other legal rights in or to inventions created in whole or in part under the contract must be available to the state for royalty-free and non-exclusive licensing. Both parties shall have a royaltyfree, nonexclusive and irrevocable right to reproduce, publish or otherwise use and authorize others to use copyrightable properly recreated under the contract. a. In the event of any claim by any third party against the purchaser that the products furnished under this contract infringe upon or violate any patent or copyright, the purchaser shall promptly notify the producer. The producer shall defend such claim, in the purchaser s name or its own name, as appropriate, but at the producer s expense. The producer will indemnify the state against all costs, damages and attorney s fees that accrue as a result of such claim, if the purchaser reasonably concludes that its interest are not being properly protected, or if principles of governmental or public law are involved, it may enter any action. b. If any product furnished is likely to or does become the subject of a claim or infringement of a patent or copyright, then the producer may, at its option, procure for the purchaser the right to continue using the alleged infringing product or modify the product so that it becomes non-infringing. If none of the above options can be accomplished, or if the use of such product by the purchaser shall be prevented by injunction, the purchaser will determine if the contract has been breached. FOOD SAFETY CERTIFICATION AUDITS APPENDIX I, CURRENT DISTRIBUTORS BY COUNTY SCHOOL BOARD, indicates the types of audits required by the distributors for food safety and traceability. The Department s Division of Fruit and Vegetables performs, upon request, USDA GHP/GAP audits that may meet or exceed some distributor certification requirements listed in APPENDIX I, CURRENT DISTRIBUTORS BY COUNTY SCHOOL 5

6 BOARD. The information below will provide interested fruit and vegetable grower s information on the Department s certification. The cost is $92 per audit and travel hour. The length of time involved to audit depends on the size of the operation and the level of preparedness. Travel time depends on the producer s location and the location of the Department s nearest available auditor at the time of the audit. The website listed herein contains the audit checklist and is a good resource for any producer who is developing a USDA-compliant food safety program. uditverificationprogram PRODU LIST The products identified on the bid price lists are exclusive to this bid. Participating school districts may purchase other food items from procurements not associated with this bid. ORDERS Producers will receive each participating school district s order through the current distributor for that district and will invoice accordingly. Invoicing, credits and payments will be handled in their normal business relationships between the school district, distributor and producer. In the event of an out of stock product, the producer must provide a substitution with prices being the same or less than the original product. Notification of an out of stock product must be made to the Department s Division of Food, Nutrition and Wellness and the participating school districts to allow time for the approval of a substitution. No substitutions can be made without prior approval by the Department s Division of Food, Nutrition and Wellness and the participating school districts. The distributor reserves the right to deny payment on substituted products made without prior approval. PRODU DELIVERIES All produce products are to be delivered to the specified distributor in equipment appropriate to the item. Fresh-cut and other refrigerated produce items should be delivered at temperatures from 34 to 40 F. INVOICING AND PAYMENT The Department will notify successful bidders and participating school districts of the bid award. This will include the name of the awarded producer(s), the item name(s) and pricing. This pricing will establish the price to be paid to the producer by the participating school districts current distributor. This shall also be the price charged to the participating school district(s) for the product plus the participating school district s normal contract fee paid to their current distributor for stocking and delivering each item. Billing and payment shall be done based on the normal business relationship between and among these parties (producer, distributor and school district). Failure to provide clear documented delivery tickets, invoices or credits could result in delayed receipt of payment. Charges for awarded items in excess of the awarded price shall be rejected. DISCOUNTS, REBATES OR OTHER CREDITS On each invoice, the producer must identify the amount of each discount, rebate and other applicable credit on bills and invoices presented to participating school district(s) for payment, and individually 6

7 identify the amount as a discount, rebate, or in the case of other applicable credits, the nature of the credit. The producer must also identify the method by which it will report discounts, rebates and other applicable credits allocable to the contract that are not reported prior to conclusion of the contract. Documentation of costs and discounts, rebates and other applicable credits must be furnished upon request to the school district, the state agency or the Department. DRUG-FREE WORKPLACE Preference given to the bid certifying a drug-free workplace has been implemented in accordance with Section , Florida Statutes. Whenever two or more equal bids are received for the procurement of commodities or contractual services, the bid received from a business that certifies that it has implemented a drug-free workplace program shall be given preference in the award process. Established procedures for processing the bid will be followed if none of the tied vendors have a drugfree workplace program (ATTACHMENT A, DRUG-FREE WORKPLACE PROGRAM - BIDDER CERTIFICATION). CERTIFICATION REGARDING LOBBYING; DEBARMENT, SUSPENSION AND OTHER RESPONSIBILITY MATTERS FOR EXPENDITURE OF FEDERAL FUNDS Any person submitting a response to this bid MUST execute the enclosed form FDACS-01522, CERTIFICATION REGARDING LOBBYING; DEBARMENT, SUSPENSION AND OTHER RESPONSIBILITY MATTERS FOR EXPENDITURE OF FEDERAL FUNDS, and enclose it with his/her bid or proposal (ATTACHMENT B, CERTIFICATION REGARDING LOBBYING; DEBARMENT, SUSPENSION AND OTHER RESPONSIBILITY MATTERS FOR EXPENDITURE OF FEDERAL FUNDS). The Certification for Lobbying is required by 7 CFR Part 3018 for expenditures $100,000 and above. The Certification for Debarment and Suspension and Other Responsibility Matters is required by 7 CFR Part 3017 for expenditures $25,000 and above. PUBLIC ENTITY CRIMES A person or affiliate, who has been placed on the convicted vendor list following a conviction for a public entity crime, may not submit a bid on a contract to provide any goods or services to a public entity; may not submit a bid on a contract with a public entity for the construction or repair of a public building or public work; may not submit bids on leases of real property to a public entity; may not be awarded or perform work as a contractor, supplier, subcontractor or consultant under a contract with any public entity and may not transact business with any public entity in excess of the threshold amount provided in Section , Florida Statutes, for category two for a period of 36 months from the date of being placed on the convicted vendor list. DISCRIMINATION An entity or affiliate, who has been placed on the discriminatory vendor list, may not submit a bid on a contract to provide goods or services to a public entity; may not submit a bid on a contract with a public entity for the construction or repair of a public building or public work; may not submit bids on leases of real property to a public entity; may not award or perform work as a contractor, supplier, subcontractor or consultant under contract with any public entity and may not transact any business with any public entity. BID INSTRUIONS By affixing a manual signature to the bid price sheet, the bidder states that he/she has read all the provisions of the bid package and agrees to the terms, conditions and specifications contained therein. 7

8 The bid response must contain an original signature of an official who is authorized to bind the bidder to an agreement. BID PRICE SHEET BIDDERS MAY, BUT ARE NOT REQUIRED TO, SUBMIT A BID FOR ALL OR MULTIPLE REGIONS. shall provide a firm fixed price per bid unit for each item displaying an estimated quantity as specified in the bid price sheet. Bid prices shall be for fresh, high quality, seasonal Florida produce, to the maximum extent possible. All containers shall be suitable for storage and shipment, and all prices shall include standard commercial. All bid prices shall be offered F.O.B. distributor point with freight charges being the responsibility of the producer. For purposes of determining freight, a list of distributors currently being utilized by each of the participating school districts is attached in APPENDIX I, CURRENT DISTRIBUTORS BY COUNTY SCHOOL BOARD. Pricing shall include delivery and shall include any costs associated with the bid. The Department will not accept any other costs not included in the bid price. Any erasure, alteration or other correction on the bid price sheet must be initialed by the bidder. BID INQUIRIES Any questions from bidders concerning this Invitation to Bid shall be submitted no later than November 27, All questions shall be submitted in writing via to Christie.Hutchinson@FreshFromFlorida.com. BID MODIFICATION Bid modifications will be accepted from bidders, if addressed as indicated in BID SUBMISSIONS and received prior to the bid opening. No bid modifications will be accepted after the bid opening. Bid modifications will only be accepted if addressed in written or printed form, submitted with a copy of the original bid, in a sealed envelope. Telegrams, facsimiles, s, separate sealed envelopes and written or printed modifications on the outside of the sealed envelopes will not be accepted. All bid modifications must be signed by an authorized representative of the bidder. Modifications will be read by the Department at the bid opening. WITHDRAWAL OF BIDS A submitted bid may be withdrawn by submitting a written request for its withdrawal to the Department and signed by an authorized representative of the bidder prior to the bid opening date. DISQUALIFICATION OF BIDDERS More than one bid from an individual, firm, partnership, corporation or association, under the same or different names, will not be considered. Reasonable grounds for believing that a bidder is interested in more than one bid for the same work will cause the rejection of all bids in which such bidders are believed to be interested. If there is reason to believe that collusion exists among the bidders, any or all bids will be rejected. No participants in such collusion will be considered in future bids for the same work. Falsifications of any entry made on the bidder's offer will be deemed a material irregularity and will be grounds for rejection. 8

9 REJEION OF BIDS The Department reserves the right to reject any and all bids when such rejection is in the interest of the state of Florida and to reject the bid of a bidder who the Department determines is not in a position to perform the contract. LATE BIDS Bids received by the Department after the bid opening time and date will be rejected as untimely and will not be opened. A late bid notice will be sent to the bidder upon the posting of award notice with instructions for its return. Unclaimed late bids will be destroyed after 45 days. Offers from vendors listed on the Department's posted award notice are the only offers received timely in accordance with the Department's bid opening time and date. AWARD OF IDENTICAL (TIE) BIDS In the event that identical bids are received, preference shall be given to the bid certifying a drug-free workplace has been implemented in accordance with Section , Florida Statutes. Award shall be determined by using the number of valid vendor complaints on file or by lot; except that the bid/proposal, which relates to commodities manufactured within this state, shall be given preference. The bid of any foreign manufacturer with a factory in the state employing over 200 employees working in the state shall have preference over the bid of any other foreign manufacturer. EVALUATION AND AWARD Items will be awarded to the producer(s) with the best price per bid unit, per region as described in the bid price sheet. As the best interest of the state may require, the right is reserved to reject any and all bids or waive any minor irregularity or technicality in bids received. s are cautioned to make no assumptions unless their bid has been evaluated as being responsible. Any further clarification, if necessary, will be by written addendum. All other provisions of the award paragraphs, General Conditions, shall prevail. The Department reserves the right to award, or not award, contract(s) based on the availability of funds. Before award, the Department reserves the right to seek clarifications or request any information deemed necessary for proper review of submissions from any bidder deemed eligible for award. Failure to provide requested information may result in rejection of the response. The Department reserves the right to award to the next lowest bidder(s) in the event the original awarded vendor is unable to fulfill their obligations under this agreement. The next lowest bidder(s) prices must remain the same as in their original bid submission and must remain constant for the duration of the agreement. INTERPRETATIONS/DISPUTES Any questions concerning conditions and specifications shall be directed in writing to the purchasing office for receipt no later than 10 days prior to the bid opening. No interpretation shall be considered binding unless provided in writing by the Department's purchasing director in response to requests in full compliance with this provision. Any person, who is adversely affected by the agency's decision or intended decision, shall file with the agency a Notice of Protest in writing within 72 hours after the posting of the notice of decision or intended decision. With respect to a protest of the terms, conditions and specifications contained in a solicitation, including any provision governing the methods for ranking bids, proposals or replies, awarding contracts, reserving rights or further negotiation or modifying or amending any contract, the Notice of Protest shall be filed in writing within 72 hours after the posting of the 9

10 solicitation. The formal written protest shall state with particularity the facts and law upon which the protest is filed. POSTING OF BID TABULATIONS Tabulations with recommended award(s) will be posted for review by interested parties on the Florida Bid System located at click on Business, Doing Business with the State of Florida, Everything for Vendors and Customers, Vendor Bid System, Search Advertisements. Tabulations will remain posted for a period of seventy two (72) hours. Failure to file a protest within the time prescribed in Section (3), Florida Statutes, shall constitute a waiver of proceedings under Chapter 120, Florida Statutes. Failure to file the proper bond at the time of filing the formal protest will result in denial of the protest. Violation of this provision may be grounds for rejecting a response. No negotiations, decisions or actions shall be initiated or executed by the bidder as a result of any discussions with any purchaser or departmental employee. Only those communications, which are in writing from the Department's purchasing office, may be considered as a duly authorized expression on behalf of the purchaser. Also, only communications from the bidders, which are signed and in writing, will be recognized by the purchaser as duly authorized expressions on behalf of the bidder. Any questions, correspondence or contact with the Department initiated by the bidder after the bid opening date and prior to posting of intended award must be directed to the purchasing office, attention purchasing director. Department personnel will not discuss bids or proposed contract activities with bidders during the bid evaluation period. The Department will not accept any revisions or additions to any bid after the bid opening date. 10
