Abbey Street, Dublin, Ireland Since opening our doors on Poolbeg Street, Dublin, Ireland in 2001, demand for our product has been so great that we have expanded our business and currently operate 28 franchised stores. We believe this reflects the high quality and standards of our products and our continued commitment to customer service. The Bagel Bar Coffee House Franchise is a global company which operates company owned and franchised stores in Ireland, U.A.E., Kuwait, Saudia Arabia, Qatar and Azerbaijan with new regions in negotiation for Oman, Jordan, Egypt, Lebanon, Libya, Kurdistan, Peru, Bolivia, Germany, Austria, Switzerland, Nigeria, Australia, South Africa & U.S.A. To ensure the highest quality product, The Bagel Bar Coffee House import and supply our proprietary bagels from the foremost bagel producer in England in addition to the many other proprietary food items and products including our signature roast coffee blend. The basic concept of The Bagel Bar Coffee House is to offer a more sophisticated coffee/sandwich alternative, where people can enjoy excellent quality food in a relaxed friendly atmosphere. These costings are based on local agents and location of the Master Franchisee. Our billing system is 100% transparent. Property Sourcing and Negotiation The Bagel Bar Coffee House will assist our prospective Master Franchisee in sourcing units in desired locations within the agreed territory. However part of the master franchisee selection criteria will be the Master Franchisee s ability and or expertise through their current and / or previous business experience in developing and expanding a brand or business. Training and Store Management Each Master Franchisee as part of the agreement terms will provide a minimum of 4 staff upto 12 staff members who will receive an extensive four week training session on-site in your new flagship store. The training covers all aspects of operating / managing a Bagel Bar Coffee House outlet. The training programme s objective is to develop an in-depth understanding of the concepts, practices and policies of all functions necessary to successfully operate and manage a Bagel Bar Coffee House franchise outlet. Marketing Each Master Franchisee will operate a centralised marketing strategy as set out in the terms of the master franchise agreement. The basis of which is to increase the brand and store recognition in the agreed region or territory. The marketing budget agreed will enable advertising on broadcast and print media, engendering brand awareness and loyalty. From the time we receive and accept you as a prospective Master Franchisee, and throughout our business relationship, we are dedicated and committed to helping you succeed. Independent Each country and or regional Master Franchisee of The Bagel Bar Coffee House brand operates as a separate, independent business. You become your own boss but you benefit from our extensive experience and skill in all aspects of the business system and brand. Growth Potential You will become part of a successful and recognised global brand, in the rapidly expanding International coffee house / cafe market. Our unique selling point of signature bagel sandwiches and a varied and wide range of other food options, including our gourmet coffee blend and healthy smoothies. Realistic Costs and Savings Each country and or regional Master Franchisee agreement and the cost associated will depend on the size and potential of each territory. In agreeing the terms the franchisor and prospective Master Franchisee will also agree specific store specifications (materials used and equipment required), store design, layout and proprietary food products to be used. All of these terms are agreed to protect the brand s quality and service whilst also pursuing realistic costs and savings for all parties concerned. Detailed Operations Manual Each Master Franchisee receives as part of the agreement terms an operations manual to guide you in all aspects of your business.you will also be provided with a food safety manual and a health & safety manual along with a number of other in-house training manuals. Each Master Franchisee may be required to amend, translate and or adjust all manuals depending on the specific territory and the company or regional laws appropriate to that jurisdiction.

35 Initial Support On-going Support 1. The right to use The Bagel Bar Coffee House trade name and marks. 2. Transfer of business concept know-how through initial and on-going training and provision of material, operating manual, software and literature. 3. Assistance and advice in selection of a store location. 4. A complete 4 week supervisory and operational on-the-job training program. 5. In-store opening assistance for a minimum of 1 week. 6. Use of The Bagel Bar Coffee House standard operating manuals and all supplements and amendments to them. 7. Assistance in sourcing local suppliers for furniture, fixtures and equipment consistent with The Bagel Bar Coffee House quality and marketing standards. 8. Advisory services pertaining to customer service and operations and information regarding product sources, availability and market trends. 1. On-going provision of management, operational, technical advice and guidance. 2. Provision and customization of annual marketing programs and local store marketing. 3. A minimum of two visits per year to the franchised territory. 4. Continual Product/Service Mix Analysis & Evaluation based on historical sales. 5. Provision of on-going training as and when agreed between parties. 6. Continuous update of operations manual as and when deemed necessary. 7. Continuous market research and introduction of new products, promotions and marketing ideas. 8. Continuous development of corporate image. 9. Piloting franchisees ideas on new products and services in the company-owned stores. 10. Promotional support including design of e-media and newsletters.

36 Next Step - Mutual Evaluation Next Step - Establishing the Business 1. Complete Prospective Master Franchisee Initial Application and send us your business profile/ material. In completing the application, it is important to demonstrate your business experience and current/future management structure. 2. You shall then receive our official terms and conditions for the grant of The Bagel Bar Coffee House franchise right to your company in the target market. 3. Study terms and conditions carefully. Should the terms and conditions be acceptable, send an official acceptance letter. The acceptance letter should be complimented by a brief timely action plan showing the process leading to acquiring the first of The Bagel Bar Coffee House locations in the target market and commencement of contracting and décor work. 4. Sign an intent to proceed agreement and pay a deposit to secure exclusive negotiation for a period of time in your target country or area before or upon visiting The Bagel Bar Coffee House HQ in Dublin, Ireland or one of our international locations for a Franchise Discovery Day to the meet management team, visit our stores, taste our products and view some of our operating manuals, training programs and support facilities. 1. After the conclusion of the Franchise Discovery Day, we will agree on timely action plan for signing the Master Franchise Agreement and the Food Supply Agreement, acquisition of the first location and commencement of the business. 2. Agree on the timeframe for a visit to the market area to undertake the evaluation of the first location and identify local suppliers. 3. Enter into a Master Franchise Agreement and Food Supply Agreement. 4. Identify, and get approval for acquisition of the first The Bagel Bar Coffee House location. 5. Commence staff recruitment. 6. Complete the training program in your new flagship store. 5.
