Welcome to the new look Boutique Beers range for 2018, we have worked hard to bring you the biggest and best in the world of speciality and craft beers. Our focus this year has been to bring you even more UK based brewing excellence along with heading to the other side of the world to find some real unique gems. With craft sales in the UK up 21% and now accounting for 10% of all beer sold it s fair to say the revolution is now an evolution and here to stay. With so much choice it s difficult to know where to start, I know we did! Head to our market section on pages 6 to get the lowdown on what s hot and what s not. For sure IPA is still the driving force accounting for 27% of all Boutique Beer sales, this style has continued to grow in popularity and has given birth to many variations including citrus IPA s, Session IPA s, and the latest New England IPA - a big, juicy, hazy beer sure to raise a few eyebrows. Our style guide on page 10 will give you all the details on what the key differences are along with our range to help ensure you have the right mix for your outlet spread across both taste and ABV. To help you navigate through the brochure we have ordered the range first by country and then A-Z so if you re looking for a Welsh Red or an Ozzie Gose it s there to be discovered. With consumer diets changing and the ever increasing need to offer your consumers choice, we have a carefully selected range of gluten free beers from the UK and beyond. We have also sourced a number of lower ABV beers for those looking to reduce their alcohol intake, head to pages 146 for more details. 5 8 Boutique Beers 2018 Introduction Beer Production 9 Beer Production Beer is made from four ingredients: malted grain, water, hops and yeast. The idea is to extract the sugars from grains so that the yeast can turn it into alcohol and CO2, creating beer, hops are added for flavour and aroma. Altering the ingredients during the brewing process even slightly, can have a dramatic impact to the overall flavour and style. 1. Milling & Mashing 2. Lautering 3. Boiling 4. Seperation & Cooling Malted grain is gently crushed and added with hot water to a mash tun. This breaks down the malt s starch into sugars which are easier for the yeast to convert. The product is then known as the mash. The mash is then pumped into the lauter tun, where the sweet liquid (known as wort) is separated from the grain husks. The wort is then boiled in the brew kettle. Hops are added to contribute additional flavours and aromas. After boiling, the wort is transferred into a whirlpool for the wort separation stage. During this stage, any malt or hop particles are removed to leave a liquid that is ready to be cooled and fermented. 5. Fermenting 6. Maturing 7. Filtering 8. Packaging As the fermenter is filled, yeast is added. The yeast consumes the sugars in the wort and produces alcohol and carbon dioxide. Different strains yeast will produce different flavours. The fermented beer is transferred to the maturing tanks where the beer settles and any sediment drops to the bottom. The beer is filtered in order to remove all solid particles, if desired. The beer is packaged in bottles, cans and kegs for shipping. It is then ready to be poured, savoured and enjoyed.

6 10 Boutique Beers 2018 Introduction Range by Style 11 Full Range by Style With so many styles to choose from, this handy guide will help you navigate what s available and the differences between them to ensure you have the right range for your customers. We have started with the big three: Lager, IPA and Pale Ale. These make up 50% of all volume sales, once you have these in your range you can the experiment with the rest. Beer style is the most important factor to Craft Beer drinkers when choosing a beer in the On Trade (they are 20% more likely to say it is one of the most important purchase cues vs UK average). (Insight Consumer Survey Jan 2017) Lager First brewed in the 1870 s light in body, colour and crisp. Medium to high hop bitterness with a clean refeshing finish that s become the most popular style the world over. Abv. Hop level Colour Pronounced IPA The addition of high levels of hops in order to preserve the beer for long journeys to India in the late 1700 s was just the start of this hugely diverse, popular style. Flavour is hop forward with a dry finish. Abv. Hop level Colour Assertive Pale Ale Before the rise of IPA this style was, and still is hugely popular, with less hop character than an IPA, a malty backbone and typically New World or American hops. Abv. Hop level Colour Pronounced

7 12 Boutique Beers 2018 Introduction Range by Style 13 Amber Typically, same hopping levels as Pale Ales but has a lower bitterness due to the bigger malt flavour and character. Crystal malts are often used to provide colour and a caramel sweetness. Abv. Hop level Colour Pronounced Fruit Real fruits are added to the barrels during fermentation; when allowed to mature they add sour, sharp tangy fruit flavours. Strawberry and Cherry are among the most popular fruits used. Abv. Hop level Colour Low Barrel Aged Beers produced as described as aged in barrels, typically whiskey or rum barrels to impart unique flavours such as vanilla or caramel. Not fixed to any style or ABV. Abv. Hop level Colour Varied Fruit IPA Much like the IPA style but with the addition of fruit to create a tropical, fruity fresh taste. Often citrus or soft flesh fruits are used to create a sweeter, less hop forward beer. Abv. Hop level Colour Moderate Berliner Weisse Speciality of Berlin and refered to as the Champagne of the North by Napoleans troops. Fermented with Lactobacillus to provide a sharp sourness. High carbonation with a clean finish. Blonde Abv. Hop level Colour Created to appeal to European Pils drinkers; this Belgian style has a subtle malty sweet flavour with a dry finish created from the complexitiy of Belgian yeast Low Abv. Hop level Colour Low Fruit Pale Ale Much like the Pale Ale style but with the addition of fruit to create a tropical, fruity fresh taste. Often citrus or soft flesh fruits are used to create a sweeter, softer beer. Abv. Hop level Colour Moderate

Hop level Colour Moderate Pilsner Originally brewed in the town of Pilsen, Czech Republic; this beer typically uses Saaz hops. Rounded in flavour, floral and herbal aroma with a rich bready finish. Abv. Hop level Colour Pronounced Golden Developed after WWII by the Moortgat brewery, this beer features fruity and hoppy notes. Carbonation is high and extremely effervescent. Abv. Hop level Colour Moderate Gose From the German town of Goslar, this beer is highly carbonated, fruity and tart. Often has coriander and salt character, low bitterness and very refreshing and dry. Abv. Hop level Colour Low Porter Favourite of the London dockland and railway porters from which the name came, this style is dark with prounounced flavours of roasted coffee and chocolate. Abv. Hop level Colour Low NE IPA The New England IPA leans heavily on late and dry hopping techniques to deliver a bursting juicy, tropical hop experience. The balance of ingredient selection, often including the addition of wheat or oats, lends an alluring haze to this popular take on the American IPA. Abv. Hop level Colour Pronounced Stout Can be produced with the addition of lactose or oats. Stout is sweet, full bodied with a low hop bitterness. Black in colour due to the dark speciality or roasted malts used. Abv. Hop level Colour Low to Moderate

9 16 Boutique Beers 2018 Introduction Range by Style 17 Saison Originally brewed during the winter to be enjoyed in the summer by the farm workers of Northen Belgium. Traditionally low in ABV this style has grown in popularity, it can also be known as a Farmhouse Ale. With a peppery/spicy aroma and high carbonation. A refreshing beer with flavours of orange or lemon. Abv. Hop level Colour Moderate Red Ale A balanced beer that uses a moderate amount of malt and roasted barley in the recipe, which gives the beer the colour from which it is named. An approachable hop bitterness which rests on the palate, this typically amber-colored beer is brewed as a lager or an ale, and can often have a medium, candy-like caramel malt sweetness. Abv. Hop level Colour Low to Moderate Session IPA Session beer is not defined by flavours or aromas. Instead, what makes a session beer is primarily refreshment and drinkability. Any style of beer can be made lower in strength than described in the classic style. The goal should be to reach a balance between the style and the lower alcohol content. Abv. Hop level Colour Low to Moderate Wheat Adapted from the German style, with a clean yeast profile. With a doughy or bready wheat flavour. Well blanaced with a low hop profile. Abv. Hop level Moderate Colour Sour As the name describes this beers are soured through the addition of organic acids, either in the mash or during fermentation. Clean, sharp and surprisingly refreshing. Abv. Hop level Colour Varied Witbier A Belgian style with over 400 years history. Most commonly spiced with fresh coriander and citrus peal along with 50% unmalted wheat. A great summer beer with a malty sweet flavour and a crisp, dry finish. Abv. Hop level Colour Moderate

It has been brewing from its base at Southwold on the Suffolk coast for over 140 years and produces a range of cask, keg and bottled beers. Adnams were the first brewer in England to build a Distillery on the same site in 2010, where it now produces award winning handcrafted spirits. Adnams Mosaic Pale Ale (Pale Ale) 12 x 330ml Can 30ltr IBU: 40 ABV: 4.1% M: Pale, Lager, Light Cara H: Mosaic Bold hop characteristics, including peach, mango, lemon and pine flavours and aromas. A blonde beer with a dry, hoppy finish and bags of mosaic personality.

Hobo brewers, we don t own our own brewery. We work with some of the best in the industry to help produce our beer. Accessible, full of flavour and the best ingredients. Enjoy them with friends and savour that warm feeling that comes from a well deserved beer in good company. The beer buzz we call a hug. Big Hug Pilsner (Pilsner) 30ltr IBU: 12 ABV: 4.2% M: Lager, Wheat H: Perle, Magnum, Crystal Unfiltered, unfined and unpasteurised whilst the addition of Perle, Magnum and Crystal allow for a moderate bitterness with a floral and slightly spicy finish. Big Hug Juicy Pale (Pale Ale) 24 x 330ml Can 30ltr IBU: 18 ABV: 4% M: Caramalt, Pale, Munich, Oats H: Mosaic, Chinook Unfiltered and golden in colour with a low end bitterness and great aroma. Juicy has notes of melon and stone fruit with large quantities of Mosaic and Chinook. Big Hug White IPA (White IPA) 12 x 330ml 24 x 330ml Can 30ltr IBU: 30 ABV: 5.2% M: Maris Otter H: Citra, Chinook A cross between a wheat beer and an IPA, Big Hug s signature brew is cloudy and full bodied like a wheat beer but tastes like an IPA with generous amounts of Citra and Chinook.

13 24 Boutique Beers 2018 Product Range England 25 Camden Town Brewery London Camden Town Brewery was founded back in 2010 with the aim of spreading the joy of great beer. It all started out when Jasper Cuppaidge began brewing beer in the basement of his pub, The Horseshoe in Hampstead, for him to serve on the bar upstairs. He then moved under 6 railway arches in Camden where we brewed our very first beer that same year - Camden Hells Lager. Camden Pale Ale (Pale Ale) 24 x 330ml 24 x 330ml Can 30ltr IBU: 38 ABV: 4% M: Pilsner, Wheat, Light, Crystal, Munich H: (Kettle) Perle, Citra, Simcoe (Dry) Citra, Simcoe Camden Pale Ale is brewed to 4% ABV and is packed full of big American hops giving citrus and tropical fruit aroma, a round body and a balanced bitterness. Hoppy, fruity and dry. Camden Town Hells (Lager) 24 x 330ml 24 x 330ml Can 30ltr IBU: 34 ABV: 4.6% M: Pilsner H: Perle, Hallertauer, Tradition Hells is the lovechild of our two favourite German beer styles Helles and Pilsner. A distinctive, full-flavoured lager, combining a clean malt body with refreshing bitterness. It s the beer we always wanted to drink and the reason we started our brewery.

We are The Curious Brewery. Where flavour and passion comes first. We believe in trying to create things that others can t. We decided to make the best tasting beer and cider, using just the best quality ingredients and our skill as England s leading winemaker. Curious IPA (IPA) 12 x 330ml 24 x 330ml Can 30ltr IBU: 35 ABV: 4.4% M: Pale H: Golding, Bramling Cross, Chinook Triple hopped. We use traditional English Golding, the fresh, sweet, delicate king of English hops; Bramling Cross, a forest fruity beauty; and Chinook, a punchy, spicy yet aromatic hop.and distinctively Curious IPA with a balanced, zesty and refreshing finish. Curious Brew (Lager) 12 x 330ml 24 x 330ml Can 30ltr IBU: 19 ABV: 4.7% M: East Anglian Malt H: Saaz, Cascade, Nelson Sauvin Brewed in England with precision and passion to create a uniquely satisfying, cleaner, fresher lager. Re-fermented with our sparkling wine yeast before being given a dosage of the fragrant and rare New Zealand Nelson Sauvin hop.

Our approach to brewing is all about attention to detail, we aspire to constantly innovate, we are nimble and progressive yet strive to stay true to the principles of brewing respecting the four core ingredients: grain, yeast, hops and water. This was the inspiration for the name Fourpure. Fourpure Session IPA (Session IPA) 12 x 330ml Can 30ltr IBU: 42 ABV: 4.2% M: Lager, Pale, Flaked Barley H: Mosaic, Cascade, Simcoe The transatlantic influence of American brewing inspired us to make a beer with big, bold hops in an easy drinking, sessionable package. We use Mosaic, Simcoe and Amarillo to deliver a powerful hit of exciting hop character. Fourpure Juicebox (Fruit IPA) 12 x 330ml Can IBU: 56 ABV: 5.9% M: Pale Ale, Flaked Barley, Caramalt H: Citra, Falconer s Flight, Mosaic, Mandarina Bavaria, Cascade Pure tropical, fruity pleasure in a glass. Fresh orange zest and heaps of aromatic hops give this beer bright, intense flavours of mango, papaya and bitter orange. Fourpure Pils (Pilsner) 12 x 330ml Can 30ltr IBU: 30 ABV: 4.7% M: Lager H: Mittelfrüh, Tettnang, Saaz Our reimagining of a classic German Pilsner. Generous hopping with Mittelfrüh, Tettnang and Saaz gives this beer a delightful floral and spicy aroma. The finish is dry, crisp and refreshing. 16 30 Boutique Beers 2018 Product Range England 31 Freedom Brewery Abbots Bromley, Staffordshire Freedom Brewery is an independent, SALSA accredited, technologically advanced brewery that respects & upholds Brewing tradition. Based in rural Staffordshire we try to leave as little impact on the environment as we can, obtaining our unique water from a natural source and recycling all waste water naturally back into the local waterways. All of our beers are vegan stamped and naturally carbonated. Freedom Pale Ale (Pale Ale) 24 x 330ml 50ltr IBU: 40 ABV: 4.2% M: Carafa Red, Rye, Pale H: Motueka, Rakau, Centennial, Cascade, Admiral Aromatic. Dry. Bitter. Sessionable. A dry Pale Ale that derives its colour and body from cara malt and notably an inclusion of rye. This dryness is complemented by an assertive bitterness originating from an addition of English Admiral hops. Freedom Pils (Pilsner) Freedom Organic Helles Lager (Lager) 24 x 330ml 50ltr IBU: 19 ABV: 4.8% M: Organic Lager H: Organic Hallertau, Tradition Pale. Floral, Crisp. Balanced. A reflection of the Munich Helles style. This full bodied beer displays infinite subtlety in delivering a range of delicate flavours. Being organic and vegan it represents both premium quality and choice to the discerning drinker. Freedom Four Lager (Lager) 24 x 330ml 50ltr IBU: 19 ABV: 4% M: Lager H: British Challenger, First Gold Light. Crisp. Clean. Refreshing. A light pale lager reflecting all the brewing values and beliefs of Freedom. Four ingredients producing an inherently British lager conditioned for a minimum of four weeks resulting in a refreshing beer delivering both flavour and satisfaction. 24 x 330ml 50ltr IBU: 22 ABV: 4.4% M: Pilsner, Cara H: Liberty, Centennial, Saaz Golden. Bittersweet. Citrus. Clean. An up to date twist on classic pilsner styles. Wild River (Pale Ale) 12 x 330ml Can 30ltr IBU: 55 ABV: 4.5% M: Pale H: Cascade, Chinook, Liberty, Willamette A pale gold beer, Wild River delivers a tempting citrus aroma that picks out grapefruit, orange peel and lemon. The flavour follows the nose with a swirling current of spicy, zesty grapefruit notes set against a backdrop of pale malts. Frontier Lager (Lager) 12 x 330ml 24 x 330ml Can 30ltr IBU: 25 ABV: 4.5% M: Caragold, Pale H: Liberty, Cascade, Willamette Frontier pours a bright golden colour and immediately offers up delicious fruit flavour delivering distinctive notes of citrus, passionfruit and melon. 18 34 Boutique Beers 2018 Product Range England 35 Island Records London The Island Records Beer Range began with a talented homebrewer (Robin Pearson of Sound Waves) being discovered and tasked by Island s Senior Marketing Director to create a beer that captured the flavour of the iconic record label. Teaming up with Two Tribes Brewery and Boutique Bar Brands to release this range of beers. Island Records Jamaica Porter (Porter) 24 x 330ml Can IBU: 10 ABV: 6.2% M: Maris Otter, Munich, Lager, Crystal, Wheat, Pale Chocolate H: Magnum Rich, dark chocolate with minimal roastiness quickly turns to creamy coconut and smooth vanilla milkshake with a lingering spicy rum finish. The alcohol is barely perceptible and each sip slips down oh so smoothly. This is a beer you could easily drink all night. Island Records Rocksteady Pilsner (Pilsner) 24 x 330ml Can 30ltr IBU: N/A ABV: 4% M: Lager, Pilsner, Carapils H: Magnum, Brewers Gold, Saaz, Amarillo, Simcoe, Mittelfrüh A clean and crisp unfiltered pilsner, dry hopped with Amarillo for a citrus fruit aroma. Celebrating the artists and legacy of the legendary Island Records. Zesty, floral, fresh and best served with music. From day one we have committed to producing beer with character; beer with unique flavours and engaging aromas; beer brimming with personality and distinctive qualities. Distilling these principals into every single brew, we have developed a broad range of unfiltered and unpasteurised beers. Paxton IPA (IPA) 24 x 330ml Can IBU: 30 ABV: 5.5% M: Extra-pale Maris Otter, Ale Maris Otter, Crystal 150, Cara, Caragold, Wheat H: Victoria Secret, Ella, Cascade, Amarillo, Magnum Paxton IPA is dry hopped with charismatic Australian hops known for their distinctive orange bouquet and wild herbal undertones. Full of flavour and attitude this beer does not apologise for what it is: a hard hitting, fully hopped IPA. Hazey Daze (NE IPA) 24 x 330ml Can 30ltr IBU: 30 ABV: 4.6% M: Extra-pale Maris Otter, Dextin, Wheat, Cara H: Mosaic, Galaxy, Citra A juicy, crushable session IPA. This is a full flavoured New England style with big tropical aroma and citrus background notes. London Bohemia Lager (Lager) 24 x 330ml Can IBU: 15 ABV: 5% M: Bohemia Pilsner, Carapils H: Saaz, Chinook Our lager is brewed with traditional floor malts grown in the famous Bohemia region of the Czech Republic. Dry hopped with Saaz and Chinook this classic pale beer retains the crisp character associated with Czech brewing, whilst introducing new elements of pine and soft citrus undertones. With food occasions being one of the main reasons people head out it's important to not only get the offering right but benefit from a perfectly matched offering through awareness and promotion. Matching beer with food is not an exact science as we all taste and smell differently due to our varied palates, but following 3 simple rules you can guide yourself to matching heaven. If a match doesn t work, try another beer there will be an element of trial and error. Cut This is using the beer to cut through the food you are eating, to cleanse the palate before the next bite through the carbonation. For example, the bitterness of an IPA would cut through the fatty richness of pork belly. Complement We want to match the flavours and character of the beer with the flavours of the food to enhance the overall taste experience. For exmaple Porters and Stouts go great with chocolate, because of the deep rich flavours of both. Contrast The idea here is to match opposing flavours of beer and food to create unique flavours. For example the bitterness and alcohol of a Double IPA would contrast the fat and salt of blue cheese. In each case you need to think about the intensity, sweetness, bitterness and carbonation of the beer to best match the food, for example high carbonated beers can irrate the chili burn of spicy food and a Stout would overpower a white fish dish. This is a measurement of the percentage of alcohol present in a volume of liquid. American Pale Ale. Generally around 5% ABV with significant quantities of American hops. A cereal grain that is malted and used in the mash for making beer. The feel of thickness of a liquid in the mouth. Bottle conditioning Beer bottled without removing the yeast or having been pasteurized. Yeast and sediment are present in the bottle. Craft A question asked by many with many potential answers as it comes down to perception. Most would describe craft as small, independent and traditional. Decoction Mashing Decoction Mashing is a way to conduct multi-step mashes without adding additional water or applying heat to the Mash Tun. It makes it possible to achieve the crisp, dry maltiness characteristic of German beers. Malt Mash Milk Stout Mouthfeel NEIPA Grain that has been malted. The process of causing grain to germinate to release the sugars need for brewing. The mixture resulting from mashing, releasing the sugars from grains into water. Milk Stout is a stout containing lactose, a sugar derived from milk. How beer feels in the mouth. Usually described as thin or full. New England IPA, a style hailing from New Vermont/New England that is hazy and full of hop fruitiness. Pasteurization Heating the beer to a high temperature to kill bacteria. Developed by Louis Pasteur ( ) Pilsner Porter A beer style. Typically crisp and refreshing with a light clear colour. It takes it s name from the city of Pilsen, Czech Republic. A dark beer developed in London, famously popular with the street and river porters of the 18th century. Hence its name. Dry Hopping Fermentation Gose Hobo Brewer Adding hops after the boil to increase hop aroma and flavour. The process of the yeast consuming the sugars and producing alcohol and carbon dioxide. Gose is a sour wheat beer originating in Germany. Typical flavours include lemons, strong saltiness and herbs. Don t own their own equipment but travel around using spare capacity at other brewers facilities. Reinheitsgebot Saison Trappist The German Purity Law of 1516 that states the only 4 ingredients that can be included in beer are water, malted barley, yeast and hops. French for season. Traditionally this high ABV beer was brewed during the winter and enjoyed in the summer by the rural workers of Northern Belgium. A beer brewed within a Trappist monastery under the control and responsibility of the monastic community. Hops IBU Hops come from the Humulis Lupulus plant. It s the female flower that is used in brewing. International Bitterness Unit. It is a number that denotes the bitterness of a beer. The higher the IBU the more bitter the beer. Wort Yeast Wort is the name of the liquid before it is fermented into beer. Yeast is what makes the alcohol in beer. Yeast eats the sugars in the wort and gives off alcohol and Imperial Stout Imperial stout, also known as Russian Imperial Stout is a strong dark beer that was brewed in the 18th century for export to the court of Catherine II of Russia. It has a high alcohol content, usually over 9%. Zymurgy carbon dioxide. The branch of chemistry dealing with fermentation. IPA India Pale Ale. A strong hoppy pale ale, this style originated in Britain in the 19th Century, and had a high alcohol content and hopping rate, allowing it to survive the long sea voyage to India. Lager Beer made with bottom fermenting yeast. Lauter Tun A vessel where mash settles and grains are strained out of the sweet wort. Liquor The brewer s word for water used in the brewing process.

80 158 Boutique Beers 2018 Terms of Sale 1 Definitions Containers means casks, kegs, pallets, returnable bottles and cases and gas cylinders. Contract means a contract between the Supplier and the Customer for the supply of Products in accordance with these Terms. Customer means the person, company or firm who purchases the Products from the Supplier. Dispense Equipment means dispense equipment for draught products. Insolvency Type Event means any event in which the Customer compounds with or executes an assignment for the benefit of its creditors, has a bankruptcy order against it, enters into voluntary or compulsory liquidation, has an administrator or administrative receiver appointed over all or part of its assets or takes or suffers any similar action in consequence of debt or becomes insolvent. Order means the Customer s order for the supply of Products in any form or method, as the case may be. Products means the products and/or materials (or any part of them) set out in the Order including any Containers and Dispense Equipment which are to be supplied to the Customer by the Supplier in accordance with these Terms. Supplier means Matthew Clark Bibendum Limited registered in England and Wales with company number Terms means these terms and conditions as amended from time to time by the Supplier in accordance with clause Orders 2.1 An Order constitutes an offer by the Customer to purchase the Products in accordance with these Terms. The Supplier may acknowledge receipt of the Customer s Order but this does not mean that the Order has been accepted. 2.2 The Supplier s acceptance of the Order is subject to the availability of the Products and shall take place at the time the Products are dispatched for delivery or are made available for collection, at which point a Contract shall be formed. 2.3 The Supplier reserves the right to reject an Order if it does not fulfil the Supplier s minimum order value (which may be imposed by the Supplier from time to time). 2.4 These Terms apply to the Contract to the exclusion of any other terms that the Customer may seek to impose or incorporate (including, without limitation, any terms on the Customer s order form or similar document) or which may be implied by trade, custom, practice or course of dealing. 2.5 Unless the Supplier expressly elects otherwise, any Contract between it and the Customer for the supply of Products shall remain in existence notwithstanding any exercise by the Supplier of its rights under clauses 9, or Delivery 3.1 Delivery of the Products shall be completed once the Products are unloaded by the Supplier at the Customer s premises or agreed place of delivery (where the Supplier arranges transport) or once the Products are loaded by the Customer or its agent (where the Customer arranges collection of the Products). 3.2 The Customer shall at all times comply with the Supplier s reasonable delivery or collection instructions. 3.3 Any dates quoted for delivery of the Products are estimated only and the time of delivery is not of the essence. 3.4 The Supplier shall not be liable for any delay in delivery of the Products or any loss or damage (including, without limitation, any loss of profit, sales, goodwill, business and/or contract) arising out of the Supplier s delay or failure in delivering the Products or making the Products available for collection. 3.5 The Supplier reserves the right to deliver the Products in instalments at its sole discretion. Each instalment shall be invoiced, paid for separately and shall constitute a separate Contract. Any delay in delivery or defect in an instalment shall not entitle the Customer to cancel any other instalment or Contract. 3.6 The Supplier may during any periods of shortage due to causes beyond its control, supply the Products on a pro rata basis among its customers in such a manner as may be deemed equitable in the sole judgement of the Supplier and without any liability. 3.7 The Customer shall immediately inspect the Products on delivery and shall be entitled to reject any Products that have been delivered in excess or in error or which are damaged, missing or out of date, provided that the Customer endorses the delivery document at the time of delivery. 3.8 Unless inspected, notified and rejected by the Customer pursuant to clause 3.7, all Products delivered shall be deemed accepted and the Contract shall be treated as fully performed by the Supplier. 3.9 Except as set out in clause 3.7, if the Customer refuses or fails to take delivery of the Products or, where the Customer or its agent is to collect the Products from the Supplier and has not done so within three working days after the agreed collection date, the Supplier will be entitled to (at its sole discretion) store the Products at the risk of the Customer and the Customer shall in addition to the price payable under the Contract, pay for all related costs and expenses of such storage and redelivery (including, without limitation, insurance and carriage) Except as set out in clauses 5, 11 and 13, the Products cannot be returned for any reason unless agreed in advance by the Supplier in writing. 4 Title and Risk 4.1 The risk in the Products shall pass to the Customer on completion of delivery in accordance with clause 3.1 and shall be and remain at the Customer s risk at all times unless and until the Supplier has retaken possession of them. 4.2 The Supplier shall retain title to and ownership of all Products, until, subject to clause 5, it has received payment in full of all sums due from the Customer. If payments received from the Customer are not stated to refer to a particular invoice the Supplier may appropriate such payments to any outstanding invoice. 4.3 Until title in the Products passes to the Customer pursuant to clause 4.2, it may resell the Products in the ordinary course of its business (but not otherwise) provided always that the Customer shall hold in trust and to the extent that any monies are owed by the Customer, pay to the Supplier on demand any proceeds of sale. The Customer shall resell the Products as principal and not as agent of the Supplier. 4.4 Until their resale the Customer shall hold the Products in satisfactory condition as the Supplier s bailee, keep them secure, separate from any other products and identifiable as the Supplier s property and shall not charge, pledge or deal with them or allow any lien or other interest to arise over them. 5 Containers and Dispense Equipment 5.1 The Customer acknowledges that delivery of the Products may include Containers and Dispense Equipment and title in such Containers and Dispense Equipment shall not pass to the Customer. 5.2 The Customer must at all times ensure that: all empty Containers are made available for collection by the Supplier or its agent and such collection may take place at any time and without notice. The Supplier shall not be liable for any storage, handling or other charges for Containers awaiting collection; and the Dispense Equipment is regularly cleaned and is maintained in good working order, and is made available for collection by the Supplier or its agent in accordance with the terms of its provision, having notified the Supplier that it is no longer in use. 5.3 Containers and Dispense Equipment are at the Customer s risk from the point of delivery until they are collected by the Supplier or its agent. The Supplier reserves the right to charge for any Containers and/or Dispense Equipment which are not returned, or are returned damaged or in a poor or unusable condition, or are only returned after an unreasonable delay. 6 Price 6.1 The price payable for the Products (excluding Products supplied for export) shall be as stated in the Supplier s current price list at the date of delivery unless otherwise agreed in writing by the Supplier. 6.2 Any price quotation provided by the Supplier shall not constitute an offer and is only valid for a period of 14 working days from its date of issue after which the Supplier may alter such quotation (or any part of it) without notice to the Customer. 6.3 All prices stated by the Supplier (whether generally or in any Customer specific documentation) are subject to alteration without prior notice and will be reviewed by the Supplier at least once in each calendar year. In particular (and without limiting the foregoing) prices are subject to alteration to reflect changes to supplier pricing, supply chain, duties, taxes, levies, import costs, transport costs, fuel costs, customs clearances and/or foreign exchange rates. 6.4 The Customer acknowledges that there may be errors on any pricing notified by the Supplier and where this is the case, the Supplier shall provide a corrected invoice to the Customer rectifying any error. The Customer shall be responsible for settling such invoice in the normal manner and in accordance with these Terms. 6.5 Subject to clause 6.6, and unless otherwise agreed in writing by the Supplier, the price of the Products is inclusive of all duties, standard packaging and delivery, and exclusive of any special inspection or delivery requirements, any additional transportation costs imposed by law and value added tax, all of which shall be for the account of the Customer. 6.6 Where Products are supplied under bond, the Customer shall be responsible for any duties. Where Products are supplied for export, the Supplier s published export price list shall apply which excludes all costs of export. The Supplier s sole responsibility is to make the Products available to the Customer at the chosen delivery destination. All risk in the Products shall pass to the Customer after they leave the Supplier s premises and Section 32(3) of the Sale of Goods Act 1979 shall not apply. Responsibility for the customs clearance, duties and complying with all laws and regulations governing the importation, handling, use and re-sale of the Products shall be borne by the Customer. 7 Payment 7.1 The Supplier may invoice the Customer at any time before delivery or collection of the Products and the Customer shall make payment in pounds sterling in cleared funds prior to the date of such delivery or collection to the account stated in the Supplier invoice. The Customer acknowledges that any amounts due to the Customer by the Supplier shall not affect the Customer s obligations under this clause All amounts due to the Supplier shall be paid in full by the Customer without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law). Time for payment shall be of the essence of the Contract. 7.3 All amounts payable by the Customer under the Contract are exclusive of amounts in respect of value added tax chargeable from time to time ( VAT ). Where any taxable supply for VAT purposes is made under the Contract by the Supplier to the Customer, the Customer shall, on receipt of a valid VAT invoice from the Supplier, pay to the Supplier such additional amounts in respect of VAT as is chargeable on the supply of the Products at the same time as payment is due for the Products. 8 Credit Accounts 8.1 The Supplier may, at its sole discretion, establish a credit account for the Customer. A credit account shall only become operational after the Supplier has confirmed in writing that such a facility will be available to the Customer and shall be subject to any additional terms and conditions notified by the Supplier. The Supplier shall be entitled, at its sole discretion, to refuse or at any time withdraw a credit account without giving reason. 8.2 If the Customer has a credit account pursuant to clause 8.1, the Customer shall make payment in full for the Products in pounds sterling and in cleared funds in accordance with the credit terms and on the date set out in the Supplier invoice. The Supplier shall be entitled to invoice the Customer for each Order at any time after delivery or collection of the Products. 8.3 The Supplier may at any time and at its sole discretion demand security or suitable guarantee for or to vary the terms or method of payment before continuing with or delivering Products in satisfaction of any Order notwithstanding any subsisting agreement to provide credit to the Customer. 9 Non-Payment 9.1 The Customer must immediately notify the Supplier in writing if it disputes an invoice and shall continue to pay the undisputed portion of such invoice in accordance with clauses 7 and If the Customer fails to make any payment when due to the Supplier in accordance with these Terms (save where any invoice is disputed by the Customer in accordance with clause 9.1), then without prejudice to the Supplier s other rights, the Customer shall pay interest on the overdue amount at the rate of 8% per annum above the Bank of England s base rate. Interest shall accrue on a daily basis from the due date until payment of the overdue amount whether before or after judgment and the Customer shall pay the interest together with the overdue amount. 9.3 Any discounts given to the Customer are subject to payment being made on or before the date specified by the Supplier. In the event of late payment the Supplier shall be entitled to remove any discounts (including those applied on any other Orders) and re-invoice the Customer for the Products at the full price stated in the Supplier s then current price list. 9.4 Any cheques or direct debits unpaid or returned by the Customer s bank shall be subject to additional charges as may be notified by the Supplier from time to time. The Supplier reserves the right to request on demand any alternative form of payment or to cancel any accounts and terms. The Customer shall indemnify the Supplier in full against all fees, costs and expenses incurred in seeking to recover such sums payable by the Customer and/or in repossessing Products belonging to the Supplier. 9.5 If payment is to be made by instalments, the failure of the Customer to pay any instalment in due time shall entitle the Supplier to treat such failure as a repudiation of the whole Contract by the Customer and to recover damages for breach of Contract and the full balance outstanding on any account between the Supplier and the Customer shall become immediately payable. 9.6 The Supplier reserves the right at any time to set off any sum due to the Supplier from the Customer against any amount due to the Customer from the Supplier. 10 Suspension or Cancellation 10.1 If the Customer experiences an Insolvency Type Event, defaults in any payment or otherwise is in breach of its obligations to the Supplier under a Contract (or the Supplier reasonably believes that the Supplier will) then, without prejudice to any other rights or remedies, the Supplier may without penalty and by notice to the Customer: immediately suspend or cancel delivery of any Products under any Order (including stopping any Products in transit); and/ or terminate any uncompleted part of a Contract Upon suspension or cancellation of an Order or termination of a Contract, the Customer shall immediately pay to the Supplier all of the Supplier s outstanding unpaid invoices and interest and, in respect of Products supplied but for which no invoice has been submitted, the Supplier shall submit an invoice, which shall be payable by the Customer immediately on receipt. 11 Recovery of Products 11.1 If the Customer experiences an Insolvency Type Event or if the Customer fails to make any payment when due to the Supplier in accordance with these Terms, the Supplier shall, without prejudice to any other remedies, have the right to: enter the premises where Products may be (without prior notice), and repossess and dispose of any Products owned by the Supplier in order to discharge any sums owed to it under this or any other Contract; and require the Customer not to resell or part with possession of any Products owned by the Supplier until the Customer has paid in full all sums owed to the Supplier under this Contract or any other contract If the Supplier notifies the Customer of its intention to recover the Products pursuant to clause 11.1, the Customer s rights under clause 4.3 shall immediately cease and the Customer shall continue to be solely responsible for the Products in accordance with clause 4.4 until such time as the Products have been returned to the Supplier. 12 Customer s Obligations 12.1 The Customer shall: at all times store, handle, use and sell the Products in accordance with any instructions from the Supplier and all applicable laws and regulations from time to time (including without limitation ensuring compliance with those regulations relating to health and safety, bribery, corruption and the environment); ensure that the terms of the Order and any Customer Materials (as defined in clause 14) are complete, accurate and meet requirements; be responsible for checking and verifying the suitability of the Products (including any barcoding) and for its own stock control and rotation of stock; provide the Supplier (including its employees, agents and subcontractors) with access to the Customer s premises and other facilities as reasonably required by the Supplier to deliver the Products; and comply with any additional obligations or requirements that may be notified by the Supplier from time to time If requested by the Supplier, the Customer shall give all reasonable assistance and cooperation in locating and recovering any defective Products and preventing their sale to third parties and shall comply with any product recall procedures adopted by the Supplier and use all reasonable endeavours to ensure that its customers co-operate in a similar manner The Customer shall indemnify the Supplier against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by the Supplier or its group of companies arising out of or in connection with the Customer s breach of warranty or breach of its obligations under these Terms. 13 Quality of Products 13.1 Subject always to the Customer complying with its obligations under the Terms, the Supplier warrants that the Products will correspond with any description given in its price list or specification (subject to clause 13.2), be of satisfactory quality and comply with all applicable legislation governing the sale of the Products in the United Kingdom The Supplier reserves the right to amend the specification of a Product (whether already agreed with the Customer or otherwise) to reflect any changes made by the producer or manufacturer of the Product without notice The Customer must notify the Supplier immediately of any defects in a Product and not later than two days upon becoming aware of such defect. Any Products identified with a defect must be made available to the Supplier for inspection or returned to the Supplier at the Customer s own expense (in their original condition and packaging), as the Supplier may request The Supplier shall at its discretion either refund the purchase price or provide a replacement of any Product notified to it as defective pursuant to clause 13.3 and, except as set out in clause 15, the Supplier shall otherwise have no liability in respect of a defective Product. No refund, credit or replacement will be given for any out of date Products Except as provided for in these Terms, there are no warranties, express or implied, of fitness for a particular purpose, or of any other kind except as to title. In particular, all terms and warranties which would otherwise be implied by statute or under common law (including, without limitation, the terms implied by sections 13 to 15 of the Sale of Goods Act 1979 and sections 3, 4 and 5 of the Supply of Goods and Services Act 1982) are hereby excluded to the fullest extent permitted by law. 14 Intellectual Property Rights 14.1 The Customer acknowledges that the Supplier reserves all intellectual property rights in the Products and any associated merchandise or documentation (including but not limited to copyright, registered and unregistered design rights, registered and unregistered trade marks and confidential know-how). Except for the honest use of any trade marks to identify the Products, the Customer may not use any such rights without the Supplier s express written consent The Customer warrants that it has authority to supply any materials, designs and specifications (together Customer Materials ) provided by it to the Supplier and that Supplier s use of the Customer Materials shall not infringement the rights of any third party. The Customer grants to the Supplier a non-exclusive licence to use the Customer Materials. 15 Limitation of Liability 15.1 Nothing in these Terms shall limit any liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of the terms implied by section 12 of the Sale of Goods Act 1979 or any other liability which cannot be legally limited The Supplier shall, subject to clause 15.1, under no circumstances be liable for any loss of anticipated profit, loss of revenue, loss of business, loss of goodwill, business interruption, About Terms of Sale 159 any economic loss, any indirect, special or consequential loss or for any third party claims howsoever arising either from breach or non-performance of any of its obligations under a Contract or from the supply of or intended use of the Products, even if the Supplier has been advised of the possibility of such potential loss The Supplier will not, subject to clause 15.1, be liable for any loss, damage, claim, cost or expense arising from the Customer s failure to comply with its obligations under clause 12 or for any loss or damage caused to or suffered by the Customer as a direct or indirect result of the supply of the Products by the Supplier being prevented, restricted, hindered or delayed by reason of any circumstances outside the control of the Supplier including, without limitation, any export or import restrictions, quota, prohibition, changes to taxes, duties levies, customs clearances or circumstances affecting the provision of all or any part of the Products by the Supplier s usual source of supply or means of delivery 15.4 The Supplier s total liability to the Customer shall not, subject to clause 15.1, exceed the price paid for the Products with respect to which the claim is made. The Supplier s total liability includes liability in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract Unless the Customer notifies the Supplier that it intends to make a claim, the Supplier shall have no liability for that event, subject to clause The notice period for an event shall start on the day on which the Customer becomes, or ought reasonably to have become, aware of the event having occurred and shall expire three months from that date. The notice must be in writing and must identify the event and the grounds for the claim in reasonable detail. 16 General 16.1 The Contract constitutes the entire agreement and understanding of the parties and supersedes all previous oral or written representations, undertakings and agreements relating to the Products. All information contained in the Supplier s sales literature or correspondence is provided for guidance only and does not form part of the Contract. The Supplier s employees and agents are not authorised to make representations or give undertakings relating to the Products or the meaning of these Terms. The Customer confirms that it has not entered into the Contract on the basis of any representations that are not expressly incorporated in the Contract The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of the remaining terms or rights under a Contract. Any invalid or unenforceable term shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or partprovision shall be deemed deleted The failure of the Supplier to insist upon the strict performance of any of the Terms shall not be construed as a waiver of any such term and shall in no way affect the Supplier s right to enforce such provision later Nothing in the Contract is intended to nor shall it create any partnership, joint venture, constitute either party the agent of the other, or authorise either party to make or enter into any commitments for or on behalf of the other party Save for any company in the Supplier s group of companies or any permitted assignee (which the Supplier has consented to), a party who is not a party to the Contract shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract 16.6 The Supplier reserves the right to amend or update the Terms from time to time. No variation of a Contract shall be effective unless it is agreed in writing and signed by the parties (or their authorised representatives) The Contract shall be governed by English Law and the courts of England and Wales shall have exclusive jurisdiction in relation to any dispute relating thereto.
